Form 990, Part VI, Section B, Line 12C

Board members and interested parties are required to complete a conflict of interest questionaire on an annual basis. This questionaire is filed with the corporate secretary. Any conflicts of interest disclosed on the annual questionaire is reviewed and resolved by the board according to the conflict of interest policy. Should any conflicts of interest arise during the interim, the conflict is brought to the board where it is reviewed and resolved according to the conflict of interest policy.

Form 990, Part VI, Section B, Line 15

The board carries out the responsibility of setting the ceo's compensation. The board appoints a compensation committee which reviews data provided by management that includes the abbott & langer national non-profit compensation survey and other comparables. All decisions about the ceo's compensation are presented to the board for their review and ratification. The board's compensation committee also reviews salary ranges for all executives, but decisions on all other executives' compensation is the responsibility of the ceo. In arriving at the compensation decisions, the ceo is presented with a job description and a salary survey that utilized the non-profit compensation survey and other available information for similar jobs in the industry.

Financial Statement Notes

PART X, LINE 2:

The center is a not-for-profit organization as described in section 501(c)(3) of the internal revenue code and is exempt from federal income taxes. When a return is filed, it is highly certain that some positions taken would be sustained upon examination by the taxing authorities, while others may be subject to uncertainty about the merits of the tax positions taken or the amount of the positions that would ultimately be sustained. Management evaluated tax positions taken, or expected to be taken, on the center's tax return, including positions that the center is exempt from income taxes on unrelated business income. The portion of the benefits associated with tax positions taken that exceeds the amount measured as described above is reflected as a liability for uncertain tax benefits in the accompanying statement of financial position along with any associated interest and penalties that would be payable to the taxing authorities upon examination. No uncertain tax benefits or provisions were identified and recorded as a liability of asset as of december 31, 2013. Forms 990 filed by the center are subject to examination by the internal revenue service. The center is no longer subject to examination for the fiscal years ended december 31, 2009, and prior.
