Governance Explanations

Form 990, Part VI, Section A, Line 7A

The organization's by-laws states the Board of Trustees shall submit a list of nominees to the Archbishop of Baltimore to fill the positions of those trustees whose terms have expired. The Archbishop of Baltimore has the authority to appoint or remove trustees as he sees fit.

Form 990, Part VI, Section B, Line 11B

The organization's Form 990 was reviewed by the Executive Committee of the Board of Directors and a copy was provided to all Board members before it was filed. The by-laws of the organization delegate broad authority to the Executive Committee.

Form 990, Part VI, Section B, Line 12C

Upon election, each director signs a conflict of interest statement requiring disclosure of conflicts of interest and signs a conflict of interest statement annually thereafter during their term. The organization's management continuously reviews and monitors to identify any area of conflict. The agency's conflict of interest policy is included in the employee handbook. Employees are provided an explanation of the conflict of interest policy during orientation and acknowledge in writing receipt of the policy at that time.

A compensation committee annually reviews the compensation level of the executive staff. Additionally, an independent firm is retained to evaluate the appropriateness of the compensation level. Minutes of the compensation committee meeting are recorded.

In July 2013, the organization began operating the Weinberg Housing and Resource Center. The Center is a low barrier emergency shelter that provides homeless services to over 275 adult men and women each night in the City of Baltimore. Our services include shelter, breakfast and dinner, showers, laundry, case management, and a variety of life skills and empowerment classes with a focused goal on assisting residents in obtaining permanent housing. The Center also houses a convalescent center operated by Healthcare for the Homeless. In this special unit people without homes who have just been released from the hospital can find a place to recuperate under medical supervision.

IRS990/Desc0Child and Family Services programs provide a continuum of behavioral health and special education services to children and their families ranging from counseling to intensive residential treatment. In FY14 these programs: operated three special education schools where 80% (180 of 225) demonstrated mastery of their behavioral goals; placed 79 children with caring treatment foster care families; provided a total of 21,286 mental health assessments, consultations, and treatments for families and crises intervention for adolescents in Baltimore's two largest hospitals; and assisted 28 families with international adoptions, 265 families with pregnancy, parenting, and post-adoption services, and 133 families with kinship caregiver support.
