Mission and Program Overview

Mission

Native governance center is a native american-led nonprofit dedicated to assisting tribal nations in strengthening their governance systems and capacity to exercise sovereignty. Sovereignty is the inherent right of tribal nations to govern themselves by establishing systems that provide organization to their society, offer programs and services to their members, and work with other governmental entities on a nation-to-nation basis. When we say nation building, we mean the processes by which a native nation enhances its own capacity for effective self-governance and self-determination. Native governance center helps tribes improve their governance systems because research shows that strong tribal governance leads to more successful tribal communities and economies. Native governance center does this work through two main program areas: leadership development and tribal governance support. We serve both elected tribal leaders and grassroots native leaders (including native youth).

Governance Explanations

Form 990, Part VI, Section A, Line 1A

There are currently 5 committees: governance, audit and finance, executive, and development/fundraising. They have various levels of authorities, all spelled out in their charters.

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by the outside accounting firm using information provided by management. The form 990 is then reviewed in detail by management and comments incorporated. The form 990 is then presented to the finance committee. The full board approves the form 990 either through meeting or action without meeting prior to being filed with the irs.

Form 990, Part VI, Section B, Line 12C

In connection with any actual or possible conflicts of interest, an interested person must disclose the existence and nature of his or her financial interest or fiduciary responsibility and all material facts to the executive director and/or directors and members of committees with board-delegated powers considering the proposed transaction or arrangements the executive director shall report to the board all potential conflicts of interest disclosed to the executive director. After disclosure of the financial interest or fiduciary responsibility and all material facts, and after any discussion with the interested person, he or she shall leave the board or committee meeting while the final determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. An interested person may make a factual presentation at the board or committee meeting, but after such presentation, he or she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement that results in the conflict of interest. An interested person shall not actively participate in the discussion of, or vote on, the transaction or arrangement that results in the conflict of interest, either formally at a board or committee meeting or informally through contact with individual board or committee members. In addition, the interested person should not be counted in determining whether a quorum is present for the board or committee meeting at which the transaction or arrangement that results in the conflict of interest is to be voted upon. Each staff, director, principal officer, and member of a committee with board-delegated powers shall annually sign a conflict of interest acknowledgement/disclosure form.

Form 990, Part VI, Section B, Line 15A

Ngc engaged a consultant during 2023 to do a full compensation study. The study resulted in a compensation policy and pay scale for each position and a framework for obtaining appropriate comparability data for future years analysis. The executive director's compensation is reviewed and approved annually by the board of directors using appropriate comparability data. All proceedings are recorded within meeting minutes.

Financial Statement Notes

PART X, LINE 2:

The internal revenue service has determined that the organization is exempt from federal income tax under section 501(c)(3) of the u.s. Internal revenue code. It is also exempt from state income tax. However, any unrelated business income may be subject to taxation. There was no unrelated business income tax recorded for the years ended december 31, 2024 and 2023. The organization follows the accounting standards for contingencies in evaluating uncertain tax positions. This guidance prescribes recognition threshold principles for the financial statement recognition of tax positions taken or expected to be taken on a tax return that are not certain to be realized. No liability has been recognized by the organization for uncertain tax positions as of december 31, 2024 and 2023. The organization's tax returns are subject to review and examination by federal and state authorities.

IN 2024, WE KICKED OFF COHORT 2 WITH 4 NATIVE NATIONS. EACH NATIVE NATION COMPLETED AN IN-DEPTH FINANCIAL ASSESSMENT. WE HOSTED 2 IN-PERSON CONVENINGS AND 1 VIRTUAL CONVENING WHICH PROVIDED 6 FULL DAYS OF EDUCATIONAL TRAINING AND PEER LEARNING. MONTHLY EXECUTIVE COACHING SESSIONS STARTED FOR ALL PARTICIPANTS IN SEPTEMBER AND INCLUDED A CLIFTON STRENGTHS TOP 5 ASSESSMENT. INFORMAL COFFEE CONNECTION VIRTUAL MEETINGS BEGAN IN NOVEMBER AND WILL CONTINUE DURING MONTHS WHEN NO OTHER PROGRAMMING IS SCHEDULED. THIS TWO-YEAR, COHORT BASED PROGRAM WAS BUILT TO STRENGTHEN LEADERSHIP IN OUR REGION BY EQUIPPING INDIGENOUS CHANGEMAKERS WITH TOOLS AND FRAMEWORKS THEY CAN USE TO HELP REBUILD THEIR NATIONS. OVER 225 NATIVE CHANGEMAKERS FROM ACROSS THE REGION HAVE PARTICIPATED IN THE PROGRAM. IN 2024, NGC ENGAGED 21 REBUILDERS FOR COHORT 13. THE REBUILDERS PARTICIPATED IN FIVE MODULE SESSIONS, TOTALING 101 HOURS, INCLUDING TWO VIRTUAL SESSIONS AND THREE MULTI-DAY, IN-PERSON SESSIONS HELD AT THREE DIFFERENT NATIVE NATIONS IN OUR SERVICE REGION. EACH SESSION FOCUSED ON ENHANCING SKILLS IN NATION REBUILDING, INCLUDING FACILITATION TECHNIQUES AND PRACTICAL STRATEGIES FOR SEVENTH-GENERATION PLANNING. THROUGHOUT THE PROGRAM, 16 COMMUNITY LEADERS INTERACTED WITH THE REBUILDERS DURING BOTH ONLINE AND IN-PERSON SESSIONS.
