The inn between's conflict of interest policy establishes the procedures applicable to the identification and resolution of conflicts of interest in the context of transactions or arrangements entered into by the inn between where an interested person may have a financial interest (defined below) in or fiduciary responsibility toward an individual or entity with which the inn between is negotiating a transaction or arrangement. The conflict of interest policy is routinely and systematically used to prevent actual, potential, or perceived conflicts of interest that might negatively impact the inn between, the donors who support the inn between, or the inn between's irs designation as a 501(c)(3) nonprofit. After being made aware of a potential conflict, the executive director may determine whether a conflict of interest exists for an employee or volunteer, and may determine the appropriate response, with the help of the executive board as needed. The executive board shall determine whether a conflict of interest exists for the executive director or a member of the board and shall determine the appropriate response. The interested person may make a factual presentation to the executive director or executive board and may answer questions, after which time, he or she shall leave the meeting to allow the executive director or committee an opportunity to discuss the situation and to vote on whether or not a conflict of interest exists, and if so, what steps should be taken to remediate the conflict. The interested person shall not actively participate in the discussion of or vote on the transaction or arrangement, either formally at a board or committee meeting or informally through contact with individual board or committee members. In addition, the interested person should not be counted in determining whether a quorum is present for the board or committee meeting at which the transaction or arrangement that results in the conflict of interest is to be voted upon. The executive director or board chair shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the executive director, board chair or committee shall determine whether the inn between can obtain a more advantageous transaction or arrangement with reasonable efforts from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably attainable under circumstances that would not give rise to a conflict of interest, the executive board shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the inn between's interest and for our own benefit and whether the transaction is fair and reasonable and shall decide whether to enter into the transaction or arrangement in conformity with such determination. Violations of the conflicts of interest policy. If the board or committee has reasonable cause to believe that a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose. If, after hearing the response of the member and making such further investigation as may be warranted in the circumstances, the board or committee determines that the member has in fact failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective actions. Records of proceedings. The minutes of the board and all committees with board-delegated powers shall contain (1) the names of the persons who disclosed or otherwise were found to have a financial interest or a fiduciary responsibility in connection with an actual or possible conflict of interest, the nature of the financial interest or fiduciary responsibility, any action taken to determine whether a conflict of int

FORM 990 - ORGANIZATION'S MISSION

The inn between is utah's only end of life and medical respite housing solution for terminally ill and medically compromised adults experiencing homelessness. The program opened in august 2015 to address a critical gap in homeless services. The inn between's mission is to end the tragic history of vulnerable people dying on the streets by providing a safe and supportive haven for people who have nowhere to live during a medical crisis. They envision a community where people take care of each other, especially those less fortunate, and where everyone has a safe place in which to 1) experience the end of life with dignity and access to professional hospice care (a critical medical service that cannot be delivered in shelters, motels or encampments); 2) recuperate from acute medical illness, injury or surgery; or 3) to gain access to life-saving medical interventions that require stable housing (such as cancer treatment). For terminally ill individuals, the inn between is final housing solution, allowing the client to die housed not homeless. The inn between is also a post-acute medical respite solution for individuals who are too sick to be on the streets but not sick enough to be in the hospital. The inn between provides a sober-living home with all basic needs (meals, clothing, personal care items, and laundry, etc.), 24/7 medical oversight and caregiver support, transportation to medical and substance use recovery appointments, case management to connect clients with mainstream resources, and life-skills coaching. Their specialized services for terminally ill clients include a certified end of life doula who provides individualized and comprehensive emotional support; therapies such as acupuncture and meditation which are shown to reduce pain and anxiety at the end of life; and activities to improve quality of life such as crafts, movies, puzzles, music therapy, pet therapy and much more. Most activities are facilitated by volunteers. The program strives to reconnect clients with estranged family members during the end of life phase. They have a special 11th hour team of volunteers who sit bedside vigil so that no one dies alone. After a client dies, the inn between posts an obituary on their website, holds a community memorial service and places a name plaque in their memorial garden. Learn more at www.tibhospice.org.

Form 990, Page 2, Part III, Line 4A

In april 2018, the inn between acquired a former nursing home at a cost of approximately 3.5 million including needed repairs. On june 1, 2018, they relocated from their 16-bed home to the new home. During its first full year operating in the larger facility, the inn between significantly expanded program operations to an average of 32 beds nightly, necessitating an increase from seven staff to twenty and corresponding increases in program supplies and expenditures. Executive director kim correa mounted a strong capital campaign and was able to pay off the primary loan of 1.9 million by november and pay more than half of the 1 million secondary loan (a zero percent interest loan) by the end of the fiscal year. The capital campaign also funded many needed facility repairs and improvements. In fy2019, the inn between served 85 unique individuals, providing them with 12,414 medical housing days (two and one half times more housing days than the previous program year). They served 21 clients with terminal illness, 15 of whom experienced the end of life in the program, receiving 24/7 caregiver support, professional hospice care and comprehensive social, emotional and spiritual support, and 6 of whom carried forward to the next program year. The inn between served 63 medical respite clients, helping 16 exit the program into stable housing, thereby ending their cycle of homelessness. 62% of clients were disabled and 71% were under the age of 62. The inn between operates 25 state-licensed assisted living facility type ii beds and 25 eleemosynary (charitable independent living) beds. Assisted living beds are for clients who require assistance performing their activities of daily living (adls) which include toileting, bathing, dressing, ambulating, eating and taking medications. Eleemosynary beds are for clients who can perform their own adls.

Financial Statement Notes

Schedule D, Page 3, Part X

The organization is exempt from federal income taxes under section 501(c) (3) of the internal revenue code and therefore has made no provision for federal income taxes in the accompanying financial statements. In addition, the organization has been determined by the internal revenue service not to be a "private foundation" within the meaning of section 509 (a) of the internal revenue code. There was no unrelated business income for the year ended june 30, 2019. The organization's forms 990, return of organization exempt from income tax, for the year ended june 30, 2019 and the six months ended june 30, 2017 and for the years ended december 31, 2016 and 2015 are subject to examination by the irs, generally for three years after they were filed. Generally accepted accounting principles require tax effects from an uncertain tax position to be recognized in the financial statements only if the position is more likely than not to be sustained if the position were to be challenged by a taxing authority. The assessment of the tax position is based solely on the technical merits of the position, without regard to the likelihood that the tax position may be challenged. If an uncertain tax position meets the more-likely-than-not threshold, the largest amount of tax benefit that is greater than 50% likely to be recognized upon ultimate settlement with the taxing authority is recorded. The organization's primary tax positions relate to its status as a not-for-profit entity exempt from income taxes and classification of activities related to its exempt purpose. Management has evaluated the tax positions reflected in the organization's tax filings and does not believe that any material uncertain tax positions exist.
