Form 990, Part VI, Section B, line 12C

The conflict of interest policy covers all directors, principal officers, and members of committees. In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. An interested person may make a presentation at the governing board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. The chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the governing board or committee shall determine whether the corporation can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the corporation's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination, it shall make its decision as to whether to enter into the transaction or arrangement. If the governing board or committee has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose. If, after hearing the member's response and after making further investigation as warranted by the circumstances, the governing board or committee determines the member has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action.

The Board of Directors reviewed the job description and compensation for Director of Daycare position. Compensation was based on experience of the board of directors with their own businesses and knowledge of compensation rates in the region. The Board reviewed and approved the compensation in March of 2014.

Form 990, Part III, line 2

Children's daycare center development: The purpose of the project is the construction and development of a children's daycare facility for 200 children, located in Watford City, North Dakota. As of August 2014, Wolf Run operates a newly constructed facility approved by the State of North Dakota assisted by Director Tessa Moberg. The services of the daycare center are be available to working families throughout the Watford City community that have young children.

Financial Statement Notes

Part IV, Line 2B:

Wolf Run Village Inc. holds tenant security deposits. These funds are included in cash and security deposits payable in the financial statements. The accounts totaled $30,198 and $31,882 as of December 31, 2013 and 2014, respectively.

Part X, Line 2:

Wolf Run Village, Inc. is organized as a nonprofit corporation and has been recognized by the Internal Revenue Service (IRS) as exempt from federal income taxes under Section 509(a) of the Internal Revenue Code as organizations described in Section 501(c)(3), qualify for the charitable contribution deduction under Section 170(b)(1)(A)(vi) and (viii). Wolf Run is annually required to file a Return of Organization Exempt from Income Tax (Form 990) with the IRS. In addition, Wolf Run is subject to income tax on net income that is derived from business activities that are unrelated to their exempt purposes. Wolf Run has determined it is not subject to unrelated business income tax and has not filed an Exempt Organization Business Income Tax Return (Form 990-T) with the IRS. Wolf Run believes that it has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. Wolf Run would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.

Wolf Run believes that it has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. Wolf Run would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.
