Governance Explanations

Form 990, Part VI, Section A, line 3

Curtis Knutson (as Interim President/CEO) was compensated by a management company for the services provided to the organization for a portion of the year. The amount paid for 2018 was $123,300 to Patina Solutions Group, Inc. This management agreement ceased upon Mr. Knutson's employment by the organization.

A draft Form 990 is reviewed and approved by the Board Audit & Finance Committee and then sent to the full Board of Directors for their review and approval prior to submission to the IRS.

Form 990, Part VI, Section B, line 12C

Board members and officers shall disclose any potential conflict, and shall not participate in the discussion of board or corporate action related to such dealing and shall not be counted for purposes of determining a quorum when such action is taken. Violations of the conflict of interest policy shall be reported to the Board Chair, or if they concern actions of the Board Chair, to the Vice Chair. The officer receiving the report shall bring this information to the attention of the full board in whatever manner is most appropriate. Board members and officers will certify in writing annually their compliance with the conflict of interest policy.

Form 990, Part VI, Section B, line 15A

Compensation for the Executive Director shall be based on qualifications and performance, consistent with market comparisons, of the Executive Director position relative to functionally comparable leadership positions in other organizations in the Twin Cities metropolitan area. Benefits for the Executive Director, in addition to base salary, shall be substantially similar to those provided to other regular staff of the Corporation. Any incentive pay plan shall be documented and approved by the Board in advance of the evaluation period. Initial and subsequent decisions on Executive Director compensation shall be documented, including terms of compensation arrangements, authority for the compensation decision, approval date, names of board members on the committee which recommended the decision, data used in arriving at the decision, including review of actual Executive Director compensation records for the preceding year, and disclosures of conflict of interest, if any. Compensation for Vice President positions is determined by the Executive Director using market evaluation data, provided by the HR department, on an annual basis. The market evaluation is completed using salary surveys that represent the state of Minnesota, the Twin Cities metro area, nonprofit data, FTE matches, and a national survey.

Financial Statement Notes

Part V, Line 4:

Endowment gifts to Lifetrack are permanently invested and overseen by our Board of Directors. Interest income from endowments is available to support the work of the Organization, and is distributed with respect to the donors' intentions. The Lifetrack Endowment presently has three components: 1. General Endowment - to benefit children, adults and families served by Lifetrack Resources. Designated gift funds on behalf of general endowment include the John and Sheila Mohr Fund and the Jerome G. Byrnes Fund. 2. Early Childhood Endowment - to benefit at-risk children and their families. One designated gift fund is the Thelma Brynolfson Fund for therapeutic preschool activities. 3. Child and Adult Therapies Endowment - to benefit individuals with disabilities. One donor designated fund is the William H. Davis/Hearing Society of Minnesota for Services to Deaf and Hard of Hearing Children and Adults.

Part X, Line 2:

Lifetrack Resources, Inc. is organized as a Minnesota nonprofit corporation and has been recognized by the Internal Revenue Service (IRS) as exempt from federal income taxes under Section 501(a) of the Internal Revenue Code as an organization described in Section 501(c)(3), qualifies for the charitable contribution deduction under Section 170(b)(1)(A)(vi), and has been determined not to be a private foundation under Section 509(a)(1). The Organization is annually required to file a Return of Organization Exempt from Income Tax (Form 990) with the IRS. In addition, the Organization is subject to income tax on net income that is derived from business activities that are unrelated to its exempt purpose. The Organization has determined it is subject to unrelated business income tax and has filed an Exempt Organization Business Income Tax Return (Form 990-T) with the IRS to report qualified fringe benefits. The Organization believes that it has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. The Organization would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.

IRS990/Desc0Lifetrack's Employment Services include programs to support individuals with multiple barriers to employment including serving: individuals with disabilities, low-income families, at risk youth, individuals recently laid off, and individuals with criminal backgrounds. Lifetrack provides work readiness support and mentoring, job placement, and job retention support. In 2018, Lifetrack's Employment Services achieved the following outcomes:* Provided employment support for 1,407 individuals* 733 individuals started a new job* 487 individuals received Industry-Recognized Training Credentials * 81% of individuals hired retained their job for 12 months or more* Average wage for clients who got a job was $13.76 per hourA 2018 Self-Support Index report from the State of Minnesota shows Lifetrack leading its peers in the helping low-income families achieve long-term success. The State analyzed program data to identify if individuals were working 3 years after receiving Lifetrack's employment services. The results show that 76% of the clients are working 30 hours or more each week, an achievement matched by only one other agency.

Lifetrack's Child and Family Services served 965 children and adult family members, ranging in age from birth to 85. Our programs include Families Together, which includes the therapeutic preschool, home visiting services, and therapy services, and Deaf/Hard of Hearing Family Outreach Services, which supports families with young children who are newly identified as deaf or hard of hearing.Lifetrack's Families Together combats the effects of poverty, violence and toxic stress through a therapeutic and intensive relationship-based approach that results in significant developmental progress for children, builds stronger families and empowers parents with the tools to create a nurturing, healthy environment at home. Our strategy focuses on three areas: parent education and support, early childhood education and therapy services. Families Together is uniquely effective in both early intervention and prevention for children and families requiring the most intensive, complex and targeted services. In 2018, Families Together served 235 clients.Lifetrack's Deaf and Hard of Hearing (DHH) Outreach Services offer unbiased family support, connections to the DHH community and the opportunity to develop relationships with successful Role Models and Mentors who are DHH. Our family-focused, interconnected services offer guidance, resources, and a vision for the future to parents of young children, who are key in fostering their child's optimal development. We also offer a self-advocacy and empowerment program specifically designed to address the complex challenges faced by children and youth, ages 7-21. Deaf and Hard of Hearing Outreach Services provided resources and support to 730 clients in 2018.
