The completed 990 is reviewed and approved by the board audit & finance committee and then sent to the full board of directors for their review and approval prior to submission to the irs.

Form 990, Part VI, Section B, Line 12C

Board members and officers shall disclose any potential conflict, and shall not participate in the discussion of board or corporate action related to such dealing and shall not be counted for purposes of determining a quorum when such action is taken. Violations of the conflict of interest policy shall be reported to the board chair, or if they concern actions of the board chair, to the vice chair. The officer receiving the report shall bring this information to the attention of the full board in whatever manner is most appropriate. Board members and officers will certify in writing annually their compliance with the conflict of interest policy.

Form 990, Part VI, Section B, Line 15A

Compensation for the chief executive officer shall be based on qualifications and performance, consistent with market comparisons of the ceo position relative to functionally comparable leadership positions in other organizations in the twin cities metropolitan area. Benefits for the ceo, in addition to base salary, shall be substantially similar to those provided to other regular staff of the corporation. Any incentive pay plan shall be documented and approved by the board in advance of the evaluation period. Initial and subsequent decisions on ceo compensation shall be documented, including terms of compensation arrangements, authority for the compensation decision, approval date, names of board members on the committee which recommended the decision, data used in arriving at the decision, including review of actual ceo compensation records for the preceding year, and disclosures of conflict of interest, if any. Compensation for vice president positions is determined by the ceo using market evaluation data provided by the hr department on an annual basis. This process last took place in september 2012. The market evaluation is completed using salary surveys that represent the state of minnesota, the twin cities metro area, nonprofit data, fte matches, and a national survey.

Effective july 1, 2013, working family resource center, inc. (wfrc) and its programs were fully dissolved into lifetrack resources, inc. Wfrc was a separate minnesota nonprofit organization that educated and supported employees to effectively manage the demands of work and family. This strategic decision brings together complementary services and resources to the community, allowing families to access a greater spectrum of services including work-life education.

Financial Statement Notes

PART V, LINE 4:

Part v, line 4: endowment gifts to lifetrack resources are permanently invested and overseen by our board of directors. Interest income from endowments is available to support the work of the organization, and is distributed with respect to the donors' intentions. The lifetrack resources endowment presently has three components: 1. General endowment - to benefit children, adults and families served by lifetrack resources. Designated gift funds on behalf of general endowment include the john and sheila mohr fund and the jerome g. Byrnes fund. 2. Early childhood endowment - to benefit at-risk children and their families. One designated gift fund is the thelma brynolfson fund for therapeutic preschool activities. 3. Child and adult therapies endowment - to benefit individuals with disabilities. One donor designated fund is the william h. Davis/hearing society of minnesota for services to deaf and hard of hearing children and adults.

PART X, LINE 2:

Lifetrack resources, inc. Is organized as a minnesota nonprofit corporation and has been recognized by the internal revenue service (irs) as exempt from federal income taxes under section 501(a) of the internal revenue code as an organization described in section 501(c)(3), qualifies for the charitable contribution deduction under section 170(b)(1)(a)(viii), and has been determined not to be a private foundation under section 509(a)(2). The entity is annually required to file a return of organization exempt from income tax (form 990) with the irs. In addition, the entity is subject to income tax on net income that is derived from business activities that are unrelated to its exempt purpose. The entity has determined it is not subject to unrelated business income tax and has not filed an exempt organization business income tax return (form 990-t) with the irs. The entity believes that it has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. The entity would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.
