Governance Explanations

Form 990, Part VI, Section A, line 4

The Board amended the Articles of Incorporation to include a 'Written Action of Board' (Article VIII. Any action required or permitted to be taken at a meeting of the Board may now be taken by a written action signed, or consented to by authenticated electronic communication, by the number of directors that would be required to take the same action at a meeting at which all directors were present.

Form 990, Part VI, Section A, line 8B

The Organization does not have any committees with the authority to act on behalf of the governing body.

Form 990, Part VI, Section B, line 11B

A draft Form 990 is reviewed and approved by the Board Audit & Finance Committee and then sent to the full Board of Directors for their review and approval prior to submission to the IRS.

Form 990, Part VI, Section B, line 12C

Board members and officers shall disclose any potential conflict, and shall not participate in the discussion of board or corporate action related to such dealing and shall not be counted for purposes of determining a quorum when such action is taken. Violations of the conflict of interest policy shall be reported to the Board Chair, or if they concern actions of the Board Chair, to the Vice Chair. The officer receiving the report shall bring this information to the attention of the full board in whatever manner is most appropriate. Board members and officers will certify in writing annually their compliance with the conflict of interest policy.

Form 990, Part VI, Section B, line 15A

Compensation for the Chief Executive Officer shall be based on qualifications and performance, consistent with market comparisons, of the CEO position relative to functionally comparable leadership positions in other organizations in the Twin Cities metropolitan area. Benefits for the CEO, in addition to base salary, shall be substantially similar to those provided to other regular staff of the Corporation. Any incentive pay plan shall be documented and approved by the Board in advance of the evaluation period. Initial and subsequent decisions on CEO compensation shall be documented, including terms of compensation arrangements, authority for the compensation decision, approval date, names of board members on the committee which recommended the decision, data used in arriving at the decision, including review of actual CEO compensation records for the preceding year, and disclosures of conflict of interest, if any. Compensation for Vice President positions is determined by the CEO using market evaluation data, provided by the HR department, on an annual basis. The market evaluation is completed using salary surveys that represent the state of Minnesota, the Twin Cities metro area, nonprofit data, FTE matches, and a national survey.

Form 990, Part VI, Section C, line 19

Audited financial statements and IRS 990s are available on Lifetrack Resources' website, www.lifetrack-mn.org, for the most recent three years as well as available upon request. The governing documents and conflict of interest policy are available upon request.

Additional Explanations

Form 990, Part III, line 2

A Community Health Worker was added to staff to provide education and outreach to families who participate in the Families Together program in the areas of oral health, nutrition, and mental health. Starting in November 2016 a new employment program was added to support Refugees and Immigrants with Disabilities in obtaining employment.

Form 990, Part III, line 3

In April 2016, a long-standing contract to provide Adult Rehabilitation Therapies to Health East ended, as Health East transitioned to providing those services in-house. In 2016, Innovative Packing Solutions operations ended and the contracts were sold. In 2016 the Children's Therapies Clinic expanded to offer greater mental health services and a new Community Health Worker program. Starting in 2016, Lifetrack's employment programs added new services to provide culturally specific employment services and assisting individuals with attaining work in nontraditional careers. LifeBalance Solutions has expanded program outreach in the area of Diversity and Inclusion. We work with several experts that use research-based information and provide broad content knowledge to customize training to meet the strategic goals of individual organizations. LifeBalance Solutions has been granted approved contractor status to deliver training in a variety of categories of diversity and inclusion for the Minnesota State Government agencies.

Financial Statement Notes

Part V, Line 4:

Endowment gifts to Lifetrack are permanently invested and overseen by our Board of Directors. Interest income from endowments is available to support the work of the Organization, and is distributed with respect to the donors' intentions. The Lifetrack Endowment presently has three components: 1. General Endowment - to benefit children, adults and families served by Lifetrack Resources. Designated gift funds on behalf of general endowment include the John and Sheila Mohr Fund and the Jerome G. Byrnes Fund. 2. Early Childhood Endowment - to benefit at-risk children and their families. One designated gift fund is the Thelma Brynolfson Fund for therapeutic preschool activities. 3. Child and Adult Therapies Endowment - to benefit individuals with disabilities. One donor designated fund is the William H. Davis/Hearing Society of Minnesota for Services to Deaf and Hard of Hearing Children and Adults.

Part X, Line 2:

Lifetrack Resources, Inc. is organized as a Minnesota nonprofit corporation and has been recognized by the Internal Revenue Service (IRS) as exempt from federal income taxes under Section 501(a) of the Internal Revenue Code as an organization described in Section 501(c)(3), qualifies for the charitable contribution deduction under Section 170(b)(1)(A)(viii), and has been determined not to be a private foundation under Section 509(a)(2). The Organization is annually required to file a Return of Organization Exempt from Income Tax (Form 990) with the IRS. In addition, the Organization is subject to income tax on net income that is derived from business activities that are unrelated to its exempt purpose. The Organization has determined it is not subject to unrelated business income tax and has not filed an Exempt Organization Business Income Tax Return (Form 990-T) with the IRS. The Organization believes that it has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. The Organization would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.

Part XI, Line 4B - Other Adjustments:

IRS990/Desc0Lifetrack mission focuses on Family Resiliency and Empowerment of individual and families. Family resiliency is strengthened when children and adult family members have 1) the educational foundation to learn and acquire skills to succeed and thrive; 2) access to the building blocks that ensure their physical, mental and emotional health; and 3) the stability afforded through consistent employment that provides a full earning potential and economic advancement. Lifetrack helps families achieve these goals through three sets of programming designed to provide the educational, health and employment supports families need.Employment and Economic Advancement OutcomesLifetrack's Employment & Economic Advancement Programs include employment services for people with disabilities, employment and training services for adults and youth in transition, and business services. Participants receive employment readiness and job specific education; access to physical and mental health care to address barriers to employment; and financial literacy training to help them build stable futures. Each year, Lifetrack helps people with disabilities, immigrants and refugees, and people experiencing poverty launch and develop careers that are meaningful to them. Employment and Economic Advancement* In 2016, Lifetrack served 1,565 individuals seeking employment and economic and career advancement. * 1,428 participants completed assessment and were admitted * 570 were placed into employment * 79% retained employment for six months * 72% retained employment for 12 months * Average earnings were $17,414 * 162 earned industry recognized credentials * 145 were placed into employment relevant to their credentials* 312 were placed in jobs with employer-paid health benefits * 1,158 completed at least 2 hours of financial literacy training * 1,158 showed increased knowledge of financial literacy (pre/post) * 694 implemented a savings/spending plan
