The board members must self-disclose any actual or possible conflict of interest before any deliberation or vote in which they may have a material financial interest in the outcome. Failure to disclose before or discovery of such failure after the transaction has taken place is punishable by action up to and including removal from the board. Compensation for employees is to align with our compensation philosophy established by hr and the leadership team. The personnel and compensation committee can also provide input to the president & ceo on the compensation of the senior management team. The president & ceo's salary is reviewed directly by the personnel and compensation committee and is approved by the board after the committee's recommendation.
