When any of these individuals become aware of a conflict with a family member as identified in the policy, other parties in which these individuals or entities share 10% or greater relationship, or these individuals are an officer, director, trustee, partner, or employee of the other party, he or she has a duty to take the following action - immediately disclose the existence and circumstances to Soliya's board in writing, refrain from using his or her personal influence to encourage Soliya to enter into the transaction, physically excuse himself or herself from any discussions regarding the transaction except to answer questions, including board discussions and decisions on the subject. Each individual covered by the policy annually shall complete a conflict of interest questionnaire provided by the organization at the annual board meeting and shall update as necessary to reflect changes during the course of the year. Questionnaires are available for inspection by any board member and may be reviewed by the organization's legal counsel.”
