Governance Explanations

Form 990, Part VI, Section B, Line 11B

The information for the 990 and 990t is accumulated by ewi's accounting department and reviewed and approved by the cfo. The final return is compiled by an external accounting firm and is again reviewed and approved by both the ewi accounting department and cfo. Each member of the board of directors is provided with a copy of the 990 and 990t with the opportunity to review and provide feedback prior to filing. Any feedback from the board of directors is addressed prior to filing.

Form 990, Part VI, Section B, Line 12C

As a condition of employment, ewi distributes and requires acknowledgementof ewi's conflict of interest policy from all employees and board members. Ewi has an ethics officer that is responsible for the code of ethics policy and addressing ethics questions or concerns. The code of ethics policy addressesconflicts of interest with clients and suppliers and offers a confidentialavenue for comments or concerns to be addressed by the ethics officer or directly to the board of directors. Matters brought to the attention of the ethics officer or board of directors are given due consideration andinvestigated appropriately.

Form 990, Part VI, Section B, Line 15

Ewi uses an independent external compensation expert to establish and maintain its compensation system. This organization employs best-practice disciplines in administering its pay system. This includes a variety of well-respected compensation surveys, including one focused on engineering firms, to determine labor market values for all jobs, including executive. Ewi must compete with for-profit firms for engineering and leadership talent. For that reason ewi uses "blended rates" necessary to attract and retain talent. Ewi's board of directors includes a compensation committee comprised of independent members of the board which approved executive compensation practices in accordance with the compensation system used for the entire organization. The compensation decisions are deliberated in executive session and documented in the minutes. Compensation is reviewed annually.

Financial Statement Notes

PART X, LINE 2:

Ewi is a not-for-profit corporation and is exempt from tax under the provisions of internal revenue code section 501(c)(3). However, ewi is taxed on income that is not considered related to its exempt purpose and on the income of its for-profit subsidiaries. Accounting principles generally accepted in the united states of america require management to evaluate tax positions taken by ewi and recognize a tax liability if ewi has taken an uncertain position that more likely than not would not be sustained upon examination by the irs or other applicable taxing authorities. Management has analyzed the tax positions taken by ewi and has concluded that, as of june 30, 2019 and 2018, there are no uncertain positions taken or expected to be taken that would require recognition of a liability or disclosure in the financial statements. Ewi is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress. A current tax liability or asset is recognized for the estimated taxes payable or refundable on tax returns for the year. Deferred tax liabilities or assets are recognized for the estimated future tax effects of temporary differences between financial reporting and tax accounting. As of june 30, 2019 and 2018, ewi has a deferred tax asset of $274,000 associated with these differences. Deferred tax assets are reduced by a valuation allowance when, in the opinion of management, it is more likely than not that some portion or all of the deferred tax assets will not be realized.
