Governance Explanations

Form 990, Part VI, Section A, Line 6

Membership at ewi provides access to some of the world's best engineers, technicians, and scientists in materials joining and allied technologies. Membership also offers free design reviews, free unlimited technical inquiries, visits to ewi and use of ewi facilities, ewi member update and orientation, access to ewi member central website, free literature searches, free access to ewi weldpredictor, publications such as ewi technical insights and ceo update and free ewi centers membership. Ewi members have no voting rights.

Form 990, Part VI, Section B, Line 11B

The information for the 990 and 990t is accumulated by ewi's accounting department and reviewed and approved by the cfo. The final return is compiled by an external accounting firm and is again reviewed and approved by both the ewi accounting department and cfo. Each member of the board of directors is provided with a copy of the 990 and 990t with the opportunity to review and provide feedback prior to filing. Any feedback from the board of directors is addressed prior to filing.

Form 990, Part VI, Section B, Line 12

As a condition of employment, ewi distributes and requires acknowledgement of ewi's conflict of interest policy from all employees. Ewi has an ethics officer that is responsible for the code of ethics policy and addressing ethics questions or concerns. The code of ethics policy addresses conflicts of interest with clients and suppliers and offers a confidential avenue for comments or concerns to be addressed by the ethics officer or directly to the board of directors. Matters brought to the attention of the ethics officer or board of directors are given due consideration and investigated appropriately.

Form 990, Part VI, Section B, Line 15

Ewi uses an independent external compensation expert to establish and maintain its compensation system. This organization employs best-practice disciplines in administering its pay system. This includes a variety of well-respected compensation surveys, including one focused on engineering firms, to determine labor market values for all jobs, including executive. Ewi must compete with for-profit firms for engineering and leadership talent. For that reason ewi uses "blended rates" necessary to attract and retain talent. Ewi's board of directors includes a compensation committee comprised of independent members of the board which approved executive compensation practices in accordance with the compensation system used for the entire organization. The compensation decisions are deliberated in executive session and documented in the minutes.

Form 990, Part VI, Section C, Line 19

The institute's governing documents are not made available to the public. Forms 990 and 990-t are made available to the public upon request, as are the company's financial statements, for the same period of time as set forth in irc section 6104(d). The conflict of interest policy is available on the company's website.

Additional Explanations

Form 990, Part III, Line 3

When edison welding institute ("ewi") was first established, its activities were focused on ohio-based customers. Since that time, ewi has expanded beyond ohio to customers located in states bordering ohio, as well as in western new york. This region is commonly referred to as the "rust belt" due to the heavy concentration of industrial manufacturing historically located there. Ewi has retained its initial tax-exempt purpose of providing a wide array of services in the field of welding and allied technologies to industry, and meeting the manufacturing and other needs of industry and government in research, development, applications engineering, technology transfer, and education and training in this expanded region.

FORM 990, PART XI, LINE 9:

Partnership activity 7,646. Change in fair value of interest rate swap 8,032. Impairment loss from investment in joint venture -632,200. Impairment loss from intangibles -165,302.

Financial Statement Notes

PART X, LINE 2:

Ewi follows financial accounting standards board (fasb) guidance on accounting for uncertainty in income taxes, which addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the financial statements. Under this guidance, ewi may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by taxing authorities, based on the technical merits of the position. Examples of tax positions include the tax-exempt status of ewi and various positions related to the potential sources of unrelated business income. The tax benefits recognized in the financial statements from such a position are measured based on the largest benefit that has a greater than 50 percent likelihood of being realized upon ultimate settlement. The guidance on accounting for uncertainty in income taxes also addresses de-recognition, classification, interest and penalties on income taxes, and accounting in interim periods. At june 30, 2017 and 2016, there were no unrecognized tax benefits identified or recorded as liabilities.
