Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee is made up of the board president, vice president, treasuer, and secretary. The executive committee is primarily responsible for the executive director's evaluation, creating board meeting agendas and managing organizational needs on short notice before the full board is able to meet.

Form 990, Part VI, Section A, Line 4

The organization amended their articles of incorporation to change their name from our streets minneapolis to our streets.

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by an independent public accounting firm using information provided by the organization. Once a draft is ready, the treasurer and board of directors review prior to filing.

Form 990, Part VI, Section B, Line 12C

Process for decisions where a conflict may exist. A. The interested person having a conflict, or what may reasonably be perceived as a financial or non-financial conflict, shall not participate in the deliberation or decision regarding the matter under consideration and shall retire from the room during deliberations except to the extent he or she has been invited by the board or committee to participate. B. The board, executive director, or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. C. After exercising due diligence, the board, executive director, or committee shall determine whether our streets can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. D. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the board or committee shall determine by a majority vote of the disinterested directors present whether the transaction or arrangement is in our streets's best interest and whether it is fair and reasonable. E. Details of the disclosure, board determinations, and voting details shall be recorded in the minutes.

Form 990, Part VI, Section B, Line 15

Our streets follows a structured budgeting process to determine compensation for the executive director and key employees. Staff develop a proposed budget, including salary adjustments, which is then presented to the board of directors for approval. For fy2024, a 10% salary increase was recommended by the executive director to align with our financial sustainability goals, ensure competitive compensation, and support staff retention. This recommendation was reviewed and approved by the board as part of the formal budgeting process. Key considerations in determining compensation included: financial position & revenue growth: the fy2024 budget reflects anticipated revenue of $1,277,300, with a focus on long-term sustainability, including reserve building and improved cash flow management. Equity & market competitiveness: salary adjustments align with the organization's commitment to equitable compensation and fair pay practices. Board oversight & approval: the final budget, including salary increases, was reviewed and approved by the board to ensure alignment with organizational priorities and financial feasibility. Our compensation process prioritizes transparency, financial responsibility, and equity, with ongoing oversight through quarterly financial reviews and budget amendment hearings.

Form 990, Part VI, Section C, Line 19

Our streets governing documents, conflict of interest policy, and financial statements are all available to the public upon request. The financial statements are included as part of the organization's annual report.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt1THE ORGANIZATION AMENDED THEIR ARTICLES OF INCORPORATION TO CHANGE THEIR NAME FROM OUR STREETS MINNEAPOLIS TO OUR STREETS.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt2THE FORM 990 IS PREPARED BY AN INDEPENDENT PUBLIC ACCOUNTING FIRM USING INFORMATION PROVIDED BY THE ORGANIZATION. ONCE A DRAFT IS READY, THE TREASURER AND BOARD OF DIRECTORS REVIEW PRIOR TO FILING.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt3PROCESS FOR DECISIONS WHERE A CONFLICT MAY EXIST. C. D. E. DETAILS OF THE DISCLOSURE, BOARD DETERMINATIONS, AND VOTING DETAILS SHALL BE RECORDED IN THE MINUTES.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt4OUR STREETS FOLLOWS A STRUCTURED BUDGETING PROCESS TO DETERMINE COMPENSATION FOR THE EXECUTIVE DIRECTOR AND KEY EMPLOYEES.
