Governance Explanations

Form 990, Part VI, Section B, Line 11B

The completed 990 will be provided to each director. It will be reviewed at a board meeting. Any questions will be addressed and the board will vote to approve.

Form 990, Part VI, Section B, Line 12C

The organization's conflict of interest policy covers officers, directors, or members of committees with board-delegated powers. Each covered individual is required to annually sign a statement which affirms that they have received and understood the policy, agree to comply with the policy's provisions, and to provide a list of relationships which may give rise to a conflict. In connection with any actual or possible conflicts of interest, an interested person must disclose the existence and nature of his or her financial interest or fiduciary responsibility and all material facts to the directors and members of committees with board-delegated powers considering the proposed transaction or arrangements. After disclosure of the financial interest or fiduciary responsibility and all material facts, and after any discussion with the interested person, if requested, he or she shall leave the board or committee meeting while the final determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists without the interested individual. The minutes of the board and all committees document all proceedings resulting from conflicts of interest.

Form 990, Part VI, Section B, Line 15A

Compensation of the top management official was addressed by the chair of the administrative committee of the board pursuant to the compensation committee charter, including evaluations of salaries at similar organizations. The process and decision were documented. At present, salaries at nice ride are substantially lower than at similar nonprofit entities. This process was last performed in january 2023.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.

Supplemental Narrative

Additional Explanations

Form 990, Part III, Line 3

Nice ride minnesota continued to operate throughout 2022 by overseeing operation of the grant-funded bike share equipment by lyft bikes & scooters llp ("lyft") and operation of an e-bike sharing fleet by lyft pursuant to a program agreement. In june 2022, nice ride minnesota published a document seeking proposals from nonprofits with similar missions to acquire nice ride minnesota. In august 2022, we selected a proposal submitted by the great plains institute. Until february 2023, we expected that lyft would continue to operate our equipment at least through the expiration of the program agreement in 2023. In february 2023, it became apparent that lyft would exit the minneapolis micromobility market and would not relaunch the bike share system. At that point, nice ride minnesota notified its public sector partners and began wind-up activities. Our current plan for wind up is to convert all assets to cash, tranfer that cash to the great plains institute under a directed giving agreement, and dissolve.

IRS990/Desc0IN 2022, NICE RIDE MINNESOTA'S PRIMARY PROGRAM WAS OVERSIGHT OF A PUBLIC BIKE SHARING SYSTEM, WHICH CREATES A SIMPLE, LOW-COST ALTERNATIVE TRANSPORTATION SOLUTION TO INCREASE PHYSICAL ACTIVITY LEVELS, REDUCE CONGESTION, REDUCE DEPENDENCE ON FOSSIL FUELS AND AUTO EMISSIONS, AND ENHANCE URBAN VITALITY. THE SYSTEM COMPLEMENTED PUBLIC TRANSIT AND CAR-SHARING PROGRAMS, PROVIDING GREATER TRANSPORTATION CHOICES. PRIOR TO JULY 2, 2018, NICE RIDE MINNESOTA OWNED AND OPERATED THE SYSTEM, WHICH INCLUDED 201 STATIONS AND 1,850 BICYCLES. IN 2018, NICE RIDE MINNESOTA BEGAN A TRANSITION. DURING THE TRANSITION PERIOD (UNTIL THE END OF OUR GRANT-FUNDED CONTRACT WITH THE CITY OF MINNEAPOLIS IN AUGUST 2021), NICE RIDE REMAINED THE EXCLUSIVE LICENSEE OF CITY OF MINNEAPOLIS AND WAS AUTHORIZED TO CONTRACT WITH MOTIVATE MINNESOTA LLC (SELECTED THROUGH A PUBLIC SOLICITATION) TO OPERATE THE SYSTEM. MOTIVATE MINNESOTA LLC SUBSEQUENTLY MERGED INTO LYFT BIKES & SCOOTERS. THROUGH OVERSIGHT OF THIS CONTRACT, NICE RIDE MINNESOTA MET OBJECTIVES FOR QUALITY, RELIABILITY, EQUITY, AND ORDER IN THE RIGHT-OF-WAY AS SET FORTH IN THE 2018 UPDATE TO NONPROFIT BUSINESS PLAN. LYFT ALSO DELIVERED A SUBSTANTIAL E-BIKE EXPANSION PURSUANT TO A MASTER PLANNING PROCESS. BECAUSE NICE RIDE MINNESOTA NO LONGER EMPLOYED AN OPERATIONS STAFF OR RAISED FUNDS TO PURCHASE NEW EQUIPMENT, THIS TRANSITION HAD A MAJOR IMPACT ON OUR FINANCIAL STATEMENTS. UNTIL SPRING OF 2023, NICE RIDE MINNESOTA CONTINUED TO OWN THE OLD GRANT-FUNDED EQUIPMENT. REVENUE FROM THAT EQUIPMENT AND THE OPERATING FEE FOR THAT SYSTEM ARE REFLECTED IN NICE RIDE MINNESOTA'S FINANCIALS. ANCILLARY TO THIS OVERSIGHT WORK, NICE RIDE ENGAGED IN ADVOCACY, SEEKING TO SHARE THE RESULTS OF ITS TRANSITION AGREEMENTS WITH OTHER CITIES AND NONPROFITS AS AN EXAMPLE AND TO ADVOCATE FOR JOINT ACTION BY RIGHT OF WAY OWNERS TO CONTRACT WITH PRIVATELY-FUNDED SHARED MOBILITY SERVICES IN WAYS THAT WILL ACHIEVE PUBLIC GOALS. FOR MORE INFORMATION AND COPIES OF OUR UPDATED BUSINESS PLAN AND CONTRACTS, SEE: HTTPS://MANAGESHAREDMOBILITYMN.ORG/HISTORY.THE GRANT-FUNDED AGREEMENTS THAT FUNDED NICE RIDE MINNESOTA EXPIRED IN 2021, MARKING THE END OF THE TWELVE-YEAR PILOT PROJECT. LYFT BIKES & SCOOTERS LLC WAS A DIRECT LICENSEE OF THE CITY OF MINNEAPOLIS IN 2022 AND OPERATED OUR AGING GRANT-FUNDED EQUIPMENT FOR US PURSUANT TO A PROGRAM AGREEMENT.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt0NICE RIDE MINNESOTA CONTINUED TO OPERATE THROUGHOUT 2022 BY OVERSEEING OPERATION OF THE GRANT-FUNDED BIKE SHARE EQUIPMENT BY LYFT BIKES & SCOOTERS LLP ("LYFT") AND OPERATION OF AN E-BIKE SHARING FLEET BY LYFT PURSUANT TO A PROGRAM AGREEMENT.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt1THE COMPLETED 990 WILL BE PROVIDED TO EACH DIRECTOR. IT WILL BE REVIEWED AT A BOARD MEETING. ANY QUESTIONS WILL BE ADDRESSED AND THE BOARD WILL VOTE TO APPROVE.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt2THE ORGANIZATION'S CONFLICT OF INTEREST POLICY COVERS OFFICERS, DIRECTORS, OR MEMBERS OF COMMITTEES WITH BOARD-DELEGATED POWERS.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt3COMPENSATION OF THE TOP MANAGEMENT OFFICIAL WAS ADDRESSED BY THE CHAIR OF THE ADMINISTRATIVE COMMITTEE OF THE BOARD PURSUANT TO THE COMPENSATION COMMITTEE CHARTER, INCLUDING EVALUATIONS OF SALARIES AT SIMILAR ORGANIZATIONS. THE PROCESS AND DECISION WERE DOCUMENTED. AT PRESENT, SALARIES AT NICE RIDE ARE SUBSTANTIALLY LOWER THAN AT SIMILAR NONPROFIT ENTITIES. THIS PROCESS WAS LAST PERFORMED IN JANUARY 2023.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt4THE ORGANIZATION MAKES ITS GOVERNING DOCUMENTS, CONFLICT OF INTEREST POLICY, AND FINANCIAL STATEMENTS AVAILABLE TO THE PUBLIC UPON REQUEST.
