Governance Explanations

Form 990, Part VI, Section A, Line 1

The organization's executive committee was comprised of board members in the current year. The executive committee has all of the duties and powers of the board of directors with the following exceptions: (a) amending the governing documents; (b) electing or removing directors; (c) dissolving the corporation; and (d) actions that may create financial obligations exceeding $50,000.

Form 990, Part VI, Section A, Line 2

Some of nice ride minnesota's directors are employed by companies that may do business with each other. Those business relationships are unrelated to nice rice minnesota.

Form 990, Part VI, Section B, Line 11B

The organization provides a copy of the form 990 to all board members prior to the filing with the irs.

Form 990, Part VI, Section B, Line 12C

The organization's conflict of interest policy covers officers, directors, or members of committees with board-delegated powers. Each covered individual is required to annually sign a statement which affirms that they have received and understood the policy, agree to comply with the policy's provisions, and to provide a list of relationships which may give rise to a conflict. In connection with any actual or possible conflicts of interest, an interested person must disclose the existence and nature of his or her financial interest or fiduciary responsibility and all material facts to the directors and members of committees with board-delegated powers considering the proposed transaction or arrangements. After disclosure of the financial interest or fiduciary responsibility and all material facts, and after any discussion with the interested person, if requested, he or she shall leave the board or committee meeting while the final determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists without the interested individual. The minutes of the board and all committees document all proceedings resulting from conflicts of interest.

Form 990, Part VI, Section B, Line 15A

Compensation of the top management official was addressed by the chair of the administrative committee of the board pursuant to the compensation committee charter, including evaluations of salaries at similar organizations. The process and decision were documented. At present, salaries at nice ride are substantially lower than at similar nonprofit entities. The executive director's salary was also reviewed by the human resource consultant and adjusted per board approval. This process was last performed in 2017.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.

Financial Statement Notes

PART X, LINE 2:

The organization is exempt from federal income taxes under section 501(c)(3) of the internal revenue service code and from minnesota income taxes. In addition, the organization has been determined by the internal revenue service (irs) not to be a private foundation within the meaning of section 509(a) of the code. Therefore, charitable contributions are tax deductible. The organization follows an accounting standard that clarifies the accounting for uncertainty in income taxes recognized in an organization's financial statements. The policy prescribes a recognition threshold and measurement principles for the financial statement recognition and measurement of tax positions taken or expected to be taken on a tax return that are not certain to be realized. No liability has been recorded related to the adoption of this standard.

IRS990/Desc0NICE RIDE MINNESOTA'S PRIMARY PROGRAM IS OVERSIGHT OF A PUBLIC BIKE SHARING SYSTEM, WHICH CREATES A SIMPLE, LOW-COST ALTERNATIVE TRANSPORTATION SOLUTION TO INCREASE PHYSICAL ACTIVITY LEVELS, REDUCE CONGESTION, REDUCE DEPENDENCE ON FOSSIL FUELS AND AUTO EMISSIONS, AND ENHANCE URBAN VITALITY. THE SYSTEM COMPLEMENTS PUBLIC TRANSIT AND CAR-SHARING PROGRAMS, PROVIDING GREATER TRANSPORTATION CHOICES. PRIOR TO JULY 2, 2018, NICE RIDE MINNESOTA OWNED AND OPERATED THE SYSTEM, WHICH INCLUDED 201 STATIONS AND 1,850 BICYCLES. IN 2018, NICE RIDE MINNESOTA BEGAN A TRANSITION. DURING THE TRANSITION PERIOD (UNTIL THE END OF OUR GRANT-FUNDED CONTRACT WITH THE CITY OF MINNEAPOLIS IN AUGUST 2021), NICE RIDE REMAINS THE EXCLUSIVE LICENSEE OF CITY OF MINNEAPOLIS AND IS AUTHORIZED TO CONTRACT WITH MOTIVATE MINNESOTA LLC (SELECTED THROUGH A PUBLIC SOLICITATION) TO OPERATE THE SYSTEM. THROUGH OVERSIGHT OF THIS CONTRACT, NICE RIDE MINNESOTA MUST MEET ALL OF THE OBJECTIVES FOR QUALITY, RELIABILITY, EQUITY, AND ORDER IN THE RIGHT-OF-WAY AS SET FORTH IN THE 2018 UPDATE TO NONPROFIT BUSINESS PLAN. MOTIVATE MUST ALSO DELIVER A SUBSTANTIAL EXPANSION, INCLUDING DOCKLESS BIKES AND E-BIKES, PURSUANT TO A MASTER PLANNING PROCESS. BECAUSE NICE RIDE MINNESOTA IS NO LONGER EMPLOYING AN OPERATIONS STAFF OR RAISING FUNDS TO PURCHASE NEW EQUIPMENT, THIS TRANSITION HAS A MAJOR IMPACT ON OUR FINANCIAL STATEMENTS. NICE RIDE MINNESOTA CONTINUES TO OWN THE OLD GRANT-FUNDED EQUIPMENT. REVENUE FROM THAT EQUIPMENT AND THE OPERATING FEE FOR THAT SYSTEM ARE REFLECTED IN NICE RIDE MINNESOTA'S FINANCIALS. ANCILLARY TO THIS OVERSIGHT WORK, NICE RIDE IS ENGAGED IN ADVOCACY, SEEKING TO SHARE THE RESULTS OF ITS TRANSITION AGREEMENTS WITH OTHER CITIES AND NONPROFITS AS AN EXAMPLE AND TO ADVOCATE FOR JOINT ACTION BY RIGHT OF WAY OWNERS TO CONTRACT WITH PRIVATELY-FUNDED SHARED MOBILITY SERVICES IN WAYS THAT WILL ACHIEVE PUBLIC GOALS. IRS990/ProgSrvcAccomActy2Grp/Desc0IN THE PAST, WE OPERATED THE NEIGHBORHOOD PROGRAM, WHICH INCLUDED AN INDEPENDENT FLEET OF BICYCLES USED TO BUILD COMMUNITY AND INTRODUCE ACTIVE-TRANSPORTATION IN LOW-INCOME COMMUNITIES. GOING FORWARD, NICE RIDE MINNESOTA WILL SEEK TO ACHIEVE THE SAME GOALS THROUGH OVERSIGHT OF THE EQUITY PLAN INCORPORATED INTO OUR AGREEMENT WITH MOTIVATE MINNESOTA. THIS PLAN REQUIRES, AMONG OTHER THINGS, REDUCED FARES FOR INCOME-ELIGIBLE SUBSCRIBERS, AMBASSADORS HOUSED WITHIN LOCAL NON-PROFIT PARTNERS, AND COMMITMENTS TO LAUNCH AND MAINTAIN BICYCLES IN AREAS OF CONCENTRATED POVERTY. THIS WORK WILL BE PART OF OUR PRIMARY PROGRAM, NOT A SEPARATE PROGRAM. IN JUNE 2018, THE NICE RIDE NEIGHBORHOOD FLEET WAS DONATED TO PAST PARTICIPANTS IN THE PROGRAM THROUGH NORTHPOINT HEALTH & WELLNESS CENTER, OUR NORTH MINNEAPOLIS PARTNER.

IRS990/ProgSrvcAccomActy3Grp/Desc0NICE RIDE MINNESOTA DEVELOPED THE GREATER MN PROGRAM IN 2013 TO EXPLORE MODELS TO BRING THE BENEFITS OF URBAN BIKE SHARE TO SMALLER CITIES. WE OPERATED FLEETS OF BICYCLES IN BEMIDJI MINNESOTA AND ROCHESTER AND USED THOSE FLEETS IN MULTIPLE PROGRAMS DESIGNED TO INTRODUCE PEOPLE TO ACTIVE TRANSPORTATION. AS PART OF THE TRANSITION, THE NICE RIDE BEMIDJI FLEET WAS TRANSFERRED TO LOCAL NONPROFIT, GOVERNMENT, AND UNIVERSITY PARTNERS WHO WILL CONTINUE TO USE IT FOR THE SAME PURPOSES. WE CONTINUE TO OWN THE NICE RIDE ROCHESTER FLEET AND ARE EXPLORING OPTIONS TO TRANSFER THAT FLEET EITHER TO THE CITY OF ROCHESTER OR TO A NONPROFIT PARTNER TO CONTINUE THE SAME WORK.
