The organization's conflict of interest policy covers officers, directors, or members of committees with board-delegated powers. Each covered individual is required to annually sign a statement which affirms that they have received and understood the policy, agree to comply with the policy's provisions, and to provide a list of relationships which may give rise to a conflict. In connection with any actual or possible conflicts of interest, an interested person must disclose the existence and nature of his or her financial interest or fiduciary responsibility and all material facts to the directors and members of committees with board-delegated powers considering the proposed transaction or arrangements. After disclosure of the financial interest or fiduciary responsibility and all material facts, and after any discussion with the interested person, if requested, he or she shall leave the board or committee meeting while the final determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists without the interested individual. The minutes of the board and all committees document all proceedings resulting from conflicts of interest.

Compensation of the top management official was addressed by the chair of the administrative committee of the board pursuant to the compensation committee charter, including evaluations of salaries at similar organizations. The process and decision were documented. At present, salaries at nice ride are substantially lower than at similar nonprofit entities. The executive director's salary was also reviewed by the human resource consultant and adjusted per board approval. This process was last performed in 2016. The executive director, head of the compensation committee and the board president met in 2016 to evaluate and review staff compensation and staff restructuring needs. The results of this meeting were shared at the annual meeting in 2016 and compensation adjustments were approved by the board that time.

Nice ride launched in rochester in spring, 2016 with a rental program focused on recreational use by hotel guests - with a focus on active living and active transportation choices. Building on the learning in other pilots and to capitalize on the dynamics of the destination medical urban redesign process, we hired staff and provided resources with an eye toward developing relationships with business, government, and grass roots partners. 200 orange bikes were transferred to rochester (a small portion was deployed in 2016). Bikes were available for rental at two locations; people's food coop and peace plaza. We see the current initiatives as critical to laying the groundwork for a future urban bike share system and to building on current interest in active transportation.

Financial Statement Notes

PART X, LINE 2:

The organization is exempt from federal income taxes under section 501(c)(3) of the internal revenue service code and from minnesota income taxes. In addition, the organization has been determined by the internal revenue service (irs) not to be a private foundation within the meaning of section 509(a) of the code. Therefore, charitable contributions are tax deductible. The organization follows an accounting standard that clarifies the accounting for uncertainty in income taxes recognized in an organization's financial statements. The policy prescribes a recognition threshold and measurement principles for the financial statement recognition and measurement of tax positions taken or expected to be taken on a tax return that are not certain to be realized. No liability has been recorded related to the adoption of this standard.

THE PROGRAM ALSO FEATURED FREE TWO HOUR RENTALS FOR BEMIDJI RESIDENTS.OPERATORS HAVE SEEN THE BENEFITS OF MARKETING THEIR TOWN AS A BIKE PLACE AND ARE SUPPORTIVE OF EFFORTS TO ADD SIGNAGE AND INFRASTRUCTURE DEVELOPMENT TO MAKE CYCLING BETWEEN THE HOTELS AND DOWNTOWN MORE INTUITIVE.
