Nice ride minnesota continued to operate throughout 2022 by overseeing operation of the grant-funded bike share equipment by lyft bikes & scooters llp ("lyft") and operation of an e-bike sharing fleet by lyft pursuant to a program agreement. In june 2022, nice ride minnesota published a document seeking proposals from nonprofits with similar missions to acquire nice ride minnesota. In august 2022, we selected a proposal submitted by the great plains institute. Until february 2023, we expected that lyft would continue to operate our equipment at least through the expiration of the program agreement in 2023. In february 2023, it became apparent that lyft would exit the minneapolis micromobility market and would not relaunch the bike share system. At that point, nice ride minnesota notified its public sector partners and began wind-up activities. We obtained an appraisal of our grant-funded equipment and published a request for proposals seeking opportunities for beneficial re-use. We entered into a termination agreement with lyft in which it agreed to re-use certain of the station equipment in the bike share system it operates for the city of chicago and the city of new york and to compensate us for certain docks. A portion of the bicycle fleet was given to the university of minnesota for use in a bike library. A small number of bicycles were sold to the public for $50 each. The remainder of the fleet was recycled, having reached the end of its useful life. We sold commercial real estate previously used as our headquarters to an unrelated third-party. The proceeds of these and all other wind-up activities were transferred to the great plains institute, a non-profit corporation that is seeking to advance shared micromobility in minnesota to achieve its goals to limit carbon emissions and climate change through energy and transportation policy. We completed our wind-up and dissolved in december 2023.

IN JUNE 2022, NICE RIDE MINNESOTA PUBLISHED A DOCUMENT SEEKING PROPOSALS FROM NONPROFITS WITH SIMILAR MISSIONS TO ACQUIRE NICE RIDE MINNESOTA. IN AUGUST 2022, WE SELECTED A PROPOSAL SUBMITTED BY THE GREAT PLAINS INSTITUTE. UNTIL FEBRUARY 2023, WE EXPECTED THAT LYFT WOULD CONTINUE TO OPERATE OUR EQUIPMENT AT LEAST THROUGH THE EXPIRATION OF THE PROGRAM AGREEMENT IN 2023. IN FEBRUARY 2023, IT BECAME APPARENT THAT LYFT WOULD EXIT THE MINNEAPOLIS MICROMOBILITY MARKET AND WOULD NOT RELAUNCH THE BIKE SHARE SYSTEM. AT THAT POINT, NICE RIDE MINNESOTA NOTIFIED ITS PUBLIC SECTOR PARTNERS AND BEGAN WIND-UP ACTIVITIES. WE OBTAINED AN APPRAISAL OF OUR GRANT-FUNDED EQUIPMENT AND PUBLISHED A REQUEST FOR PROPOSALS SEEKING OPPORTUNITIES FOR BENEFICIAL RE-USE. WE ENTERED INTO A TERMINATION AGREEMENT WITH LYFT IN WHICH IT AGREED TO RE-USE CERTAIN OF THE STATION EQUIPMENT IN THE BIKE SHARE SYSTEM IT OPERATES FOR THE CITY OF CHICAGO AND THE CITY OF NEW YORK AND TO COMPENSATE US FOR CERTAIN DOCKS. A PORTION OF THE BICYCLE FLEET WAS GIVEN TO THE UNIVERSITY OF MINNESOTA FOR USE IN A BIKE LIBRARY. A SMALL NUMBER OF BICYCLES WERE SOLD TO THE PUBLIC FOR $50 EACH. THE REMAINDER OF THE FLEET WAS RECYCLED, HAVING REACHED THE END OF ITS USEFUL LIFE. WE SOLD COMMERCIAL REAL ESTATE PREVIOUSLY USED AS OUR HEADQUARTERS TO AN UNRELATED THIRD-PARTY. THE PROCEEDS OF THESE AND ALL OTHER WIND-UP ACTIVITIES WERE TRANSFERRED TO THE GREAT PLAINS INSTITUTE, A NON-PROFIT CORPORATION THAT IS SEEKING TO ADVANCE SHARED MICROMOBILITY IN MINNESOTA TO ACHIEVE ITS GOALS TO LIMIT CARBON EMISSIONS AND CLIMATE CHANGE THROUGH ENERGY AND TRANSPORTATION POLICY. WE COMPLETED OUR WIND-UP AND DISSOLVED IN DECEMBER 2023.
