Governance Explanations

Form 990, Part VI, Section B, line 11B

The Form 990 is first reviewed by the CEO and CFO. The Form 990 is then distributed to the Board of Directors for review prior to submission.

Form 990, Part VI, Section B, line 12C

At the annual retreat, all members of the Board of Directors sign and submit new conflict documents. If any issues arise through the year, they are referred to the Board governance committee.

Form 990, Part VI, Section B, line 15

The executive committee works with the CEO to set performance goals. They review the CEO's performance and make recommendations for compensation on an annual basis. The committee consults an outside agency for data on compensation and utilizes nonprofit salary surveys. The CFO salary is determined by the CEO through a compensation review and approved by the Board of Directors.

Form 990, Part VI, Section C, line 19

ChangeLab Solutions makes governing documents, conflict of interest policy and financial statements available to the public upon request.

Financial Statement Notes

Part X, Line 2:

ChangeLab Solutions is exempt from taxation under Internal Revenue Code Section 501(c)(3) and California Revenue and Taxation Code Section 23701d. Generally accepted accounting principles provide accounting and disclosure guidance about positions taken by an organization in its tax returns that might be uncertain. Management has considered its tax positions and believes that all of the positions taken by ChangeLab Solutions in its federal and state exempt organization tax returns are more likely than not to be sustained upon examination. ChangeLab Solutions' returns are subject to examination by federal and state taxing authorities, generally for three and four years, respectively, after they are filed.

IRS990/ProgSrvcAccomActy2Grp/Desc0Children & Families: Creating healthy, safe, and resilience-promoting opportunities for children and families is vital to improve community health. We develop strategies and tools to inform policymakers and communities about policies and programs that support children and families - including supports for children's mental health and resources to help navigate and access supplemental security income. We also work to strengthen family-supportive systems and employment opportunities by focusing on access to paid sick leave and equitable enforcement of worker protections.

IRS990/ProgSrvcAccomActy3Grp/Desc0Healthy Neighborhoods: Evidence shows that where people live plays a key role in their health. Housing, workplaces, street design, and transportation all influence prominent health factors such as safety, physical activity, access to healthy food, community engagement, and affordable living. We provide planning tools that connect the dots between neighborhood resources and help communities achieve their policy goals.

IRS990/ProgSrvcAccomActyOtherGrp/Desc0Tobacco Prevention: Limiting access to tobacco products is the first step in preventing tobacco-related diseases. Effective strategies include eliminating the sale of tobacco products to minors, regulating electronic cigarettes, increasing enforcement of existing laws, and reducing exposure to secondhand smoke. We offer a wide range of resources to help communities tailor and implement policy options to regulate tobacco.
IRS990/ProgSrvcAccomActyOtherGrp/Desc1Food & Beverages: A healthy diet is key to maintaining good health. Well-designed food systems positively shape the health, environmental, social, and economic outcomes of neighborhoods and communities. We work on a variety of policy strategies that advance health equity through each component of the food system and help ensure access to healthy, affordable foods and beverages.
IRS990/ProgSrvcAccomActyOtherGrp/Desc2Health Care: Health care systems and hospitals have opportunities to get involved in community public health initiatives. Partnering with advocates and local agencies, providing healthier foods and beverages, and leveraging community benefits allocations from hospitals can help keep people healthy and out of emergency rooms. Our resources can help health care organizations and hospitals work towards community-based prevention of health problems.
IRS990/ProgSrvcAccomActyOtherGrp/Desc3In addition to the support described above, during 2021-2022, we provided capacity building and training to more than 21,000 individuals and 106 organizations across all fifty states and the District of Columbia. We also developed 45 products to further support communities to advance health equity.
