Director conflict of interests: Director conflicts of interest shall be governed by North Dakota Century Code (NDCC) 10-33-46 or its successor statute and 42 cfr 460.68 or its successor regulation. Compensation is paid by the sole member of the organization, Northland Healthcare Alliance, and the member is reimbursed by the organization monthly. The sole member oversees the process for determining compensation. The CEO is reviewed annually by the executive committee based on his annual evaluation instrument provided to the committee. The CEO's compensation is compared to other health facilities and organizations. The CFO undergoes an annual performance evaluation. Compensation amounts determined for the CFO are compared to other PACE organizations as well as experience and evaluation on an annual basis. The process described above last took place in November 2014 for the CEO and March 2015 for the CFO.

Part X, Line 2:

The Organization is organized as a North Dakota nonprofit corporation and has been recognized by the Internal Revenue Service (IRS) as exempt from federal income taxes under Internal Revenue Code Section 501(c)(3). The Organization is annually required to file a Return of Organization Exempt from Income Tax (Form 990) with the IRS. In addition, the Organization is subject to income tax on net income that is derived from business activities that are unrelated to their exempt purpose. The Organization files an Exempt Organization Business Income Tax Return (Form 990T) with the IRS to report its unrelated business taxable income. The Organization believes that it has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. The Organization would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.

IRS990/Desc0Northland PACE program was incorporated January 4, 2008, to engage in the business of providing all-inclusive care for the elderly (PACE) services in accordance with the PACE program agreement. The PACE services is an all inclusive set of services to meet the healthcare needs of the frail elderly as defined by CMS (Centers for Medicare and Medicaid Services) in the PACE regulations. Those services include but are not limited to primary and preventive care, specialty care, vision and dental care, pharmaceuticals, nutrition, mental and social health, physical, occupational and speech therapies and other services to maintain the health of the plan participants. The project target population is the frail elderly over 55 population, which averages 15-35% of the service area's population. The project is designed to develop a network-base PACE program in seven rural areas in three phases over a period of three years. While PACE has mostly been implemented in urban communities nationally, this PACE project will use a sophisticated telehealth conferencing system and an electronic medical record system to launch this rural health project in coordination with local providers to deliver a full spectrum of health care services to this frail elderly population in the seven rural areas.

The Organization is annually required to file a Return of Organization Exempt from Income Tax (Form 990) with the IRS. In addition, the Organization is subject to income tax on net income that is derived from business activities that are unrelated to their exempt purpose. The Organization files an Exempt Organization Business Income Tax Return (Form 990T) with the IRS to report its unrelated business taxable income. The Organization believes that it has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. The Organization would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.

The sole member oversees the process for determining compensation. The CEO is reviewed annually by the executive committee based on his annual evaluation instrument provided to the committee. The CEO's compensation is compared to other health facilities and organizations. The CFO undergoes an annual performance evaluation. Compensation amounts determined for the CFO are compared to other PACE organizations as well as experience and evaluation on an annual basis. The process described above last took place in November 2014 for the CEO and March 2015 for the CFO.
