The members of the corporation shall be the president, councilors, the general secretary, and the general treasurer, also referred to as the central administration of the congregation of the third order of st. Francis of mary immaculate of joliet, and their successors in office.

The members of the corporation have legal rights to (1) establish and modify the philosophy, mission, objectives, programs, and purpose of our lady of angels retirement home(legal right and canonical reserved powers), (2) approve the nominees for the corporate officesrs as proposed by the board of directors, (3) approve the appointment or removal of the administrator of our lady of angels retirement home with or without cause, (4) approve the operating and capital budgets for our lady of angels retirement home and any deviation thereto, (5) approve any major change in programs and services, including creation of new or discontinuation of existing programs, (6) approve or decline any charitable contribution which impose a material obligation on the our lady of angels retirement home corporation, (7) approve all long-range specific plans of this corporation before their implementation, (8) approve plans for construction or renovation, and (9) approve outside auditors and legal counsel for our lady of angels retirement home corporation.
