“The executive committee of the board of directors shall consist of twelve voting members, comprised of the seven elected officers, the immediate past-chairman, and up to four additional members nominated by the chairman and elected by a majority vote of the board of directors. The president shall be a non-voting member of the executive committee. The term of office for members of the executive committee shall coincide with the term of office of the officers elected each year. The executive committee shall have full authority to act as and on behalf of the board of directors in the interim between scheduled meetings of the board of directors.
