Governance Explanations

Form 990, Part VI, Section A, Line 1

The executive committee of the board of directors shall consist of twelve voting members, comprised of the seven elected officers, the immediate past-chairman, and up to four additional members nominated by the chairman and elected by a majority vote of the board of directors. The president shall be a non-voting member of the executive committee. The term of office for members of the executive committee shall coincide with the term of office of the officers elected each year. The executive committee shall have full authority to act as and on behalf of the board of directors in the interim between scheduled meetings of the board of directors. Seven (7) voting members shall constitute a quorum. Meetings may be called by the most senior officer of the association serving on the executive committee or, in his absence or disability, by the most senior official of the association.

Form 990, Part VI, Section A, Line 6

The organization has principal, associate, and affiliate members. Principal: any person, legal or real, whose primary business is engaged in the development, ownership, management of, or investment in commercial real estate, shall, without discrimination, be eligible for principal membership in the association. Each principal member shall be entitled to one vote on those matters for which he or she is entitled to vote under the by-laws of the association. Associate: any person, legal or real, not qualifying as a principal member shall be eligible for associate membership in the association. Associate members shall not be eligible to serve as officers or directors or to vote at regular or special meetings of the association. Associate members may act as voting members of any regular, special or standing committee, and they may serve in appointed positions at the pleasure of the chairman of the board of the association. Affliliate: any person employed by a principal member or associate member may be designated by such principal or associate member to become an affiliate member of the association. Affiliate members may serve as officers or directors of the association. Affiliate members may serve as chapter officers; act as members of any regular, special or standing committee; and may serve in appointed positions at the pleasure of the chairman of the association.

All of the officers shall be elected by the principal members of the association at the annual meeting.

Upon proposal by the board of directors, these by-laws may be amended, repealed, or altered, in whole or in part, (a) by a majority vote of the delegates of the principal members present, in person or by proxy, at any meeting of the association; provided, that a copy of any amendment proposed for consideration shall be mailed or sent by electronic ballot to the last recorded address of the delegate of each principal member of the association at least thirty (30) days prior to the date of the meeting; or (b) by approval of the delegates of the principal members through mail vote or electronic ballot in accordance with the provisions of article x, section 8.

All board, executive committee, & senior staff are require to annually complete a conflict of interest/disclosure statement. When a covered person has a conflict, the following steps will be taken: if the conflict involves a board member or committee member, the president shall make a recommended disposition to the board. If the conflict involves a staff member, the president shall have the authority to decide upon appropriate disposition. The recommended disposition may consist of one of the following: 1) simple disclosure where the board or association's awareness of the disclosure is sufficient to correct any bias; 2) recusal during any reporting, discussion or decision-making regarding an important policy or program when the conflict affects that policy or program; or 3) resignation when the conflict relates to a continuing, pervasive and important board, committee, or association function that cannot be isolated on an agenda so as to permit recusal.

Salary surveys are obtained and compensation for the president is determined by an independent compensation committee. The process for determining the compensation of the other officers and key employees is also based on salary surveys. Salary schedules for all staff are completed by the president and reviewed by the chairman. The most recent year the process took place was 2014.
