The individual would be given the opportunity to disclose all material facts to the president & ceo and board members who would make a final determination of a conflict of interest. If the individual is a board member, they would be excluded from that decision-making process. In the event that a conflict of interest is identified, the individual would be disqualified from participating in certain governing body activities. Depending on the nature of the conflict the individual may also be removed from the governing board itself. The organization has had not conflicts of interest.”
