Governance Explanations

Form 990, Part VI, Section A, Line 6

The council has members that pay membership dues. Admission to membership is by majority vote of the board of directors. Each regular member is entitled to one vote.

The board of directors, excluding directors emeritus, are elected by and from the regular membership.

Form 990, Part VI, Section B, Line 11B

Once the federal form 990 has been prepared and reviewed by management, the council electronically transmits the federal form 990 to the executive committee for their review and approval. After it has been approved by the executive committee, the council electronically transmits the federal form 990 to the full board of directors. The board has a 10 day review period to submit comments before it is signed and filed with the internal revenue service.

The council gives a copy of the conflict of interest policy to each new hire. Annually the council requests each employee to re-read the policy and to fill out a disclosure statement. If a possible conflict of interest arises concerning a board member and the conflict cannot be rectified then the board member risks losing their voting rights.
