Action for Older Persons Inc.

“Action for Older Persons has one (1) class of Members that are Members by virtue of having purchased of an annual Membership. At a meeting of the Members, which occurs annually, the Board of Directors, the governing board of AOP, is elected by the Membership. The Board of Directors may also call for Special Meetings of the Membership. Whenever any corporate action, other than the election of Directors, is to be taken by vote of the Membership, it shall, except as otherwise may be required by statute, the Certificate of Incorporation and/or by Action for Older Persons By-Laws, be authorized by a majority of the votes cast at such meeting.”

“A draft copy of form 990 is presented to the finance committee for their review and approval upon acceptance the president/treasurer are authorized to sign the federal and state filings.”

“The agency mandates that all board of directors and key employees complete a disclosure statement regarding conflict of interest annually and more frequentely, if warranted. All conflicts are summarized and presented at a board directors meeting.”

“Compensation for key employees is determined by the executive committee of the board of directors. Compensation is determined by comparisons with local industry standards, such as united way listings of salaries for comparabale positions. Board members are not compensated. Annual reviews for the executive director is performed by the board of directors, with annual compensation set at such review.”

“The organization makes all applicable documents available through the following: Inspection at the local office, providing copies upon request, posting on guidestar, The NYS Charities Bureau and NYS Grants Gateway Vault.”

“A draft copy of the reviewed financial statements is presented to the finance committee for their review and approval. The agency's board selects the independent accountant each year in their board meeting.”
