This statement reflects the language of astm's charter and makes clear astm's commitments to the development and dissemination of high-quality standards and technical information in increasingly diverse fields, and to strengthening the acceptance and use of astm standards in a global environment of international, regional, and national breadth.

James A. Thomas, President, is the father of James S. Thomas, Assistant VP Sales & Marketing.

Form 990, Part VI, Section A, Lines 6, 7A & 7B

The organization has members, who join by purchasing a membership or qualifying for a free membership from the organization. Those members then elect a nominating committee of their peers who, together with the three past chairmen of the board of directors, select nominees for open board positions. All qualified members then vote on the nominees.

Form 990, Part VI, Section B, Line 11B

ASTM Board procedures 3.3 require, in part, that the finance and audit committee is responsible for "review and approval of return of organization exempt from income tax (IRS Form 990)" and that each board member will have the opportunity to review and comment on the draft Form 990 prior to filing. An electronic draft of Form 990, including required schedules, is provided to each voting member of the ASTM Board prior to its filing with the IRS.

ASTM has a written conflict of interest policy. The conflict of interest policy defines conflicts of interest, identifies the classes of individuals within the organization covered by the policy, facilitates disclosure of information that may help identify conflicts of interest, and specifies procedures to be followed in managing conflicts of interest.

Form 990, Part VI, Section B, Line 15A & 15B

Compensation of President and VP's: Pursuant to ASTM Board procedure 2.4 the Executive Committee is responsible for administering the President's employment agreement and compensation program; and pursuant to ASTM Board procedure 3.3 the finance and audit committee is responsible for monitoring ASTM employee benefits and salary administration programs and for making recommendations to the Board of Directors for such modifications as may be necessary. To that end, the Executive Committee of Board of Directors is authorized to contract, negotiate and set the salary and benefits package of the president. The practices and the procedures used to set the salary and benefits package are as follows: - Every year the executive committee receives salary/benefits survey information from American Research Company's National Compensation Study of Association Chief Staff Executives. - In addition to the annual American Research Company's National Compensation Study of Association Chief Staff, every 3rd year the Executive Committee Authorizes a salary and benefit benchmark report for the President's position from one of the major benefit consulting firms in the US (i.e. AON, Watson Wyatt. E&Y, Mercer, etc.) - All of the ASTM International staff positions are benchmarked at least every 3rd year by a major benefit consulting firm in the US. (1/3 of all positions are benchmarked every year) - This information is provided to the executive committee and the full Board of Directors during the annual budget review as part of the budget review process.

The organization does not do any formal fundraising. The organization does not actively solicit contributions from the public. Any contributions are solicited by our members for research projects, meeting expenses, and awards or scholarships.

Sale of Parking Lot In 2013, ASTM International sold the parking lot that was attached to our previous business location in Philadelphia. We relocated from Philadelphia to our current location in West Conshohocken in 1995. This parking lot was not debt financed.

The society is a tax-exempt entity under the Internal Revenue Code (IRC) Section 501(c)(3). Accordingly, the society does not pay income taxes. The society is no longer subject to U.S. Federal and State Tax eliminations for years prior to 2010. The society accounts for the effect of any uncertain tax positions based on a "more likely than not" threshold applied to the recognition of the tax positions being sustained based on the technical merits of the position under scrutiny by the applicable taxing authority. The society has identified its tax status as a 501(c)(3) tax exempt entity and as a Limited Liability Company (for ASTM International LLC and ASTM International EU LLC) as tax positions. The society does not believe its consolidated financial statements include any material uncertain tax positions.

IRS990/Desc0As one of the largest organizations of its kind, ASTM International provides a forum in which stakeholders from industry, government, academia, trade associations and others can come together to develop voluntary consensus standards for over 90 vital industry sectors. These internationally recognized documents promote public health and safety, support sustainable practices and overall quality of life, contribute to material reliability and facilitate international commerce. The following contains a list of some of the developments and activities through which ASTM fulfilled its mission in 2013. Established in 1898, ASTM International provides a forum in which a broad range of stakeholders from around the world come together to create voluntary consensus standards that serve as the building blocks of international trade, product quality and public safety. ASTM's standards are developed by some 30,000 individual members from multinational corporations and small businesses, government and academia. In addition to its standards, ASTM offers expansive solutions from training in the use of its standards to certification programs and laboratory proficiency testing. Protecting the Environment, Ensuring Public Safety, ASTM International's stakeholder-driven technical committees and the standards they develop provide the basis of sustainable industrial processes and testing that translates into a cleaner environment and improved public safety. ASTM standard D7611, Practice for Coding Plastic Manufactured Articles for Resin Identification, was revised in 2013 to update and simplify marking symbols that define the resin used in packaging, laying the groundwork for future improvements that will aid recycling efforts. ASTM standard E1527, Practice for Environmental Site Assessments: Phase I Environmental Site Assessment Process, has long defined the performance of all appropriate inquiries when conducting environmental site assessments. A 2013 revision to the standard that clarified language and strengthened the final report resulting from the site assessment was cited in an Environmental Protection Agency ruling as an acceptable practice for complying with the EPA's All Appropriate Inquiries Rule. In 2013, ASTM Committee D19 on Water formed Subcommittee D19.09 on Water - Hydraulic Fracturing Fluids, to develop standards that will assess water quality and determine the impacts of a spill and possible contamination. In 2013, industry stakeholders involved in water safety and stewardship gained a comprehensive technical resource for clean water when the new Water Portal was launched on the ASTM website; it provides convenient links to ASTM standards and related products and services in water quality, extraction, preservation, recycling and usage. New Subcommittee D34.02 on Discharge of Organic Wastes into Sanitary Sewers was formed in 2013 to develop standards that will address organic compounds that may be damaging to infrastructure or aquatic species. ASTM standards are also key in other areas connected to consumer safety. ASTM Subcommittee F15.22 on Toy Safety received the U.S. Consumer Product Safety Commission's 2013 Chairman's Circle of Commendation Award in September for its development and ongoing maintenance of ASTM F963, Standard Consumer Safety Specification for Toy Safety. In 2013, ASTM issued standards that help improve the safety of glass furniture, adult jewelry, gloves that protect workers from electric arc flashes, crib mattresses and trampoline courts, among many others. Partnering with Industry In 2013, ASTM worked closely with stakeholders and trade associations to go beyond the development of standards to create other documents and partnerships to benefit a variety of industry sectors. As a result of becoming a program operator capable of developing environmental product declarations (EPDs) and product category rules (PCRs), ASTM International entered into partnership with the Adhesive Sealant Council to begin development
