Governance Explanations

Form 990, Part VI, Section B, Line 11

The form 990 is prepared by the external auditors. The board has delegated the thorough review of the form 990 to the finance committee. The finance committee reviews the form 990 at its monthly meeting, and again electronically if any changes are made. Once the finance committee is satisfied with the form, it is shared with the board of directors electronically; the board is asked if they have any questions or comments and any questions are reviewed electronically. If no other changes are necessary, the form is then submitted to the irs.

Form 990, Part VI, Section B, Line 12C

The organization's conflict of interest policy is provided to all officers, directors and key employees. Annually, these individuals are asked to review the policy and sign a statement indicating that they understand the policy, have reported all potential conflicts during the past year in accordance with the policy and will report all potential conflicts during the coming year. All potential conflicts are evaluated by the chair of the board of directors to determine if a conflict actually exists. In those instances where the potential transaction is a conflict, the board examines the transaction and a vote is taken (with those involved recusing themselves) as to whether the organization will enter into the transaction.

Form 990, Part VI, Section B, Line 15

The organization has an equal pay policy, under which all staff are compensated at the same rate of pay for their services. Compensation is determined in conjunction with the budgeting process. Annually, staff proposes a draft budget, which is reviewed in detail by the finance committee. During this process, the finance committee discusses the proposed rate of compensation and any pay increases with staff. The finance committee considers comparable rates of compensation in the area and in similar organizations. Once the finance committee is satisfied as to the proposed compensation, it makes a recommendation to the board of directors as part of the budget approval process. The board discusses any changes to the compensation rate and their budgetary impact, and approves a compensation rate for the staff. Any changes to compensation outside of the annual process are also recommended by the finance committee and approved by the board.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.
