Governance Explanations

Form 990, Part VI, Section B, Line 11

Organization's process to review form 990 before filing-it is reviewed by the finance committee and emailed to the entire board prior to filing.

Form 990, Part VI, Section B, Line 12C

All board of trustees and key employees sign the hunterdon county ymca conflict of interest policy annually. A list of directors, officers and key employees (dotkes) is created illustrating relationships to others on the list. Business transactions with other dotkes and transactions with hunterdon county ymca. Any conflicts are noted on the dotke list and reported to the executive committee of the board of trustees. The conflicts are then evaluated without the interested party being present. The decision as to whether or not a situation poses a true conflict is documented in the minutes of the executive committee meeting.

Form 990, Part VI, Section B, Line 15

Ceo compensation process the board of trustees approves the compensation of the ceo annually. The executive committee functions as the committee to oversee executive compensation. In order to ensure the compensation is reasonable, the hr committee performs market research and makes salary pool and scale recommendations to the executive committee based on the salaries of their ceos employed by ymcas and other non-profits in the area. Based on the outcome of the ceo's annual performance appraisal, the executive committee determines the amount of the ceo's salary increase. Once the executive committee has determined the ceo's compensation is reasonable, the executive committee reports the new compensation to the board of trustees. Senior staff compensation process. Senior staff compensaions are reviewed annually. Each senior staff member has a goal sheet and a performance chart containing scores for attaining different levels of achievement. Each is filled out by the senior staff member and his/her supervisor. A meeting with each senior staff member and supervisor is held where the performance chart and goal sheet are reviewed. The result is a number score, which corresponds to a pre-determined percentage increase for compensation. The ceo reviews all senior staff performance merit evaluations with the executive committee prior to the merit increases taking effect. In order to ensure compensation is reasonable, each position is point based on the hay system. The hay system (comparable salary analysis) is utilized to set a range of salaries for various salaried positions. A point valuation is recommended by ymca of the usa on an annual basis. This is done by using a published salary base line plus a specific amount per point. The resultant salary range calculation is used to determine if salary adjustments are necessary within the range. The salary is also compared to local salaries in the non-profit community as well as other ymcas
