Governance Explanations

Form 990, Part VI, Section B, Line 11B

The federal form 990 is reviewed by the audit committee with the tax preparer and then forwarded to the full board of directors for final review prior to filing with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

The board of directors approved a conflict of interest policy at their october 28, 2009 meeting. The board members review the conflict of interest policy annually. To ensure the results for development institute operates in a manner consistent with charitable purposes and does not engage in activities that could jeopardize its tax-exempt status, periodic reviews shall be conducted. The periodic reviews shall, at a minimum, include the following subjects: whether compensation arrangements and benefits are reasonable, based on competent survey information, and the result of arm's length bargaining, and whether partnerships, joint ventures, and arrangements with management organizations conform to r4d's written policies, are properly recorded, reflect reasonable investment or payments for goods and services, further charitable purposes and do not result in inurement, impermissible private benefit or in an excess benefit transaction. If the governing board or committee determines the member has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action.

Form 990, Part VI, Section B, Line 15A

The board of directors reviews and approves the president's compensation on an annual basis. The board of directors commissioned a report from an independent consultant in 2009, 2010, 2013 and 2016 to ensure the appropriateness of the compensation levels of the managing directors and the president. In 2010 and 2013 the r4d management undertook a review of an independently produced compensation survey of other nonprofit organizations of similar size and scope to r4d to ensure the appropriateness of the compensation levels of its staff. Annually r4d management reviews the salary of its staff and compensation of r4d managing directors and all staff salaries are approved by the president. In november 2015, the board reviewed the president's employment contract and renewed this contract for an additional year to be reviewed annually henceforth. The results of the annual review shall be an input to the determination of executive's compensation.

In vietnam, r4d is providing critical support to the ministry of health as it embarks on implementation of a 10-year health financing strategy, including the definition of a benefits package, development of strategic purchasing of health services and integrating hiv services into its health financing. In 2016, r4d produced and delivered multiple presentations to vietnam's health sector policy makers and researchers on topics including international experience in implementing health financing reforms to attain universal health coverage, methods for developing an evidence-based basic health services package, provider payment methods and hospital governance. In guinea - one of the three countries struck by ebola - r4d completed a functional audit of the ministry of health. The audit was completed at the request of the minister, with funding from the european commission, to help him decide whether and how to reorganize the ministry to be more effective in its routine work and to be able to better respond to future crises such as ebola. R4d also worked in guinea in 2016 with funding from usaid's maternal child survival program to complete a rapid health system research within three regions of the country and identify operations and management challenges that affect reproductive, maternal, neonatal and child health services. R4d also identified opportunities to address the challenges. Next, r4d will support guinea's local decision-makers to use the research results to inform district planning, and provide mentoring to ensure that plans are implemented. R4d is also working in liberia - another country that's recovering from the ebola epidemic - to support much-needed health financing reforms. As a trusted partner to the ministry of health, r4d updated a costing model to estimate required revenues for primary health care, researched and designed a pilot "revolving drug fund" that should help improve access to essential medicines particularly among poor populations, and also connected the liberian government with the joint learning network for universal health coverage, which will provide a wealth of resources and peer-to-peer learning opportunities. R4d developed an interactive online dashboard that analyzes the equity of key reproductive, maternal, neonatal, and child health indicators in 25 countries where usaid's maternal child survival program is active. The dashboard analyzes coverage across dimensions of wealth, education and place of residence, and presents trends in the equity of these indicators over time. R4d presented the dashboard and an analysis of trends to in-country programmatic staff to provide evidence for incorporating pro-equity approaches into their programming. R4d recognizes that private healthcare providers are important players in the health sector and that many small mom and pop shops are organized into networks or "social franchises." in 2016, r4d worked with social franchises run by population services international in nigeria, tanzania and uganda to find ways to make them more financially sustainable and affordable for the poor, including tapping into domestic health financing resources. In 2016, r4d continued to support the scale up of treatments for childhood pneumonia, the largest killer of children under five globally. To ensure a consistent and sustainable supply of pneumonia treatments in high-burden countries, r4d engaged with high-quality manufacturers of amoxicillin dispersible tablets (amox dt) to increase their knowledge of market opportunities and potential demand while also supporting their registration processes in specific countries. In ethiopia and tanzania, r4d worked with government stakeholders and child health partners to update key treatment guidelines to reflect amox dt as the first-line treatment for childhood pneumonia. Additionally, r4d supported the development of more robust quantifications for child health commodities, worked with government officials to strengthen their procure

PART X, LINE 2:

R4d is generally exempt from federal income taxes under the provisions of section 501(c)(3) of the internal revenue code. In addition, r4d qualifies for charitable contribution deductions and has been classified as an organization that is not a private foundation. Income that is not related to exempt purposes, less applicable deductions, is subject to federal and state corporate income taxes. R4d did not have any net unrelated business income for the years ended december 31, 2016 and 2015. R4d follows the accounting standard on accounting for uncertainty in income taxes, which addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the financial statements. Under this guidance, r4d may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by taxing authorities based on the technical merits of the position. The tax benefits recognized in the financial statements from such a position are measured based on the largest benefit that has a greater than 50% likelihood of being realized upon ultimate settlement. The guidance on accounting for uncertainty in income taxes also addresses de-recognition, classification, interest and penalties on income taxes and accounting in interim periods. R4d had no such positions recorded in the financial statements at december 31, 2016 and 2015. Generally, r4d is no longer subject to u.s. Federal income tax positions by tax authorities for years before 2013.

IN 2016, R4D DEVELOPED A PROCESS GUIDE IN COLLABORATION WITH THE WORLD HEALTH ORGANIZATION FOR LOCAL MINISTRIES TO IMPROVE DISCOURSE AND RESOLVE BOTTLENECKS. THE GUIDE IS CURRENTLY BEING USED TO IMPROVE HEALTH FINANCING POLICY DIALOGUE IN MALAWI, MYANMAR AND TANZANIA. R4D ALSO CO-FACILITATED A WORKSHOP ON DOMESTIC RESOURCE MOBILIZATION FOR HEALTH IN C TE D'IVOIRE. THE FOUR PARTICIPATING COUNTRIES - BANGLADESH, C TE D'IVOIRE, GHANA AND TANZANIA - SENT DELEGATIONS WITH REPRESENTATIVES FROM BOTH THEIR MINISTRIES OF HEALTH AND FINANCE. R4D PRESENTED MULTIPLE TOOLS THAT COULD BE USED TO IMPROVE THE RELATIONSHIPS BETWEEN THE MINISTRIES AND LEAD TO BETTER USE OF RESOURCES WITHIN THE HEALTH SECTOR AND MORE RESOURCES BEING ALLOCATED TO THE HEALTH SECTOR. R4D ALSO FACILITATED RESEARCH AND WORKING SESSIONS TO ASSIST THE MINISTRIES TO IDENTIFY AREAS OF CONFLICT AND COMMON GROUND, AND TO DEVELOP PLANS FOR HOW THEY WILL TRY TO WORK MORE COLLABORATIVELY.R4D COMPLETED A GLOBAL RESEARCH AND REVIEW OF EARMARKING REVENUES FOR HEALTH TO EXAMINE WHETHER EARMARKING LEADS TO INCREASED RESOURCE ALLOCATIONS FOR HEALTH, INTRODUCES FISCAL RIGIDITIES OR LEADS TO OTHER POSITIVE OR NEGATIVE CONSEQUENCES. THE REVIEW INCORPORATED DETAILED PRACTICAL COUNTRY EXPERIENCE FROM ESTONIA, GHANA, THE PHILIPPINES, SOUTH AFRICA AND VIETNAM THROUGH AN IN-PERSON LEARNING EXCHANGE MEETING. THE RESEARCH PRODUCED A CHECKLIST FOR COUNTRIES CONSIDERING EARMARKING POLICIES TO ENSURE POLICIES ARE EFFECTIVE WITHOUT INTRODUCING EXCESS RIGIDITY INTO GOVERNMENT BUDGETS. IN GHANA, R4D DEVELOPED COST AND REVENUE ESTIMATES OF GHANA'S PRIMARY HEALTH CARE PROGRAM TO SUPPORT THE PROGRAM'S NATIONAL SCALE-UP. R4D ALSO PRODUCED AN EXCEL-BASED TOOL THAT WILL ENABLE DISTRICT, REGIONAL AND NATIONAL AUTHORITIES TO BETTER PLAN THE IMPLEMENTATION AND ADVOCATE FOR FUNDING FOR THE PROGRAM. R4D PRESENTED THESE RESULTS IN PARTNERSHIP WITH THE GHANA HEALTH SERVICE DURING A NATIONAL FORUM ATTENDED BY THE MINISTER OF HEALTH AND GHANA'S HEALTH AGENCIES. THE AUDIENCE SHOWED GREAT INTEREST IN THE FINDINGS, AND THE GOVERNMENT OF GHANA WILL NOW USE THE COST ESTIMATES TO INFORM ITS STRATEGIC PLANS FOR THE SCALING-UP OF THE PRIMARY HEALTH CARE PROGRAM. R4D IS ALSO WORKED WITH GHANA'S NATIONAL HEALTH INSURANCE AUTHORITY TO DEVELOP AND LAUNCH AN OPERATIONS RESEARCH INITIATIVE THAT IS ANALYZING THE DATA COLLECT BY THE NHIA, INVESTIGATING PROBLEMS AND TAKING ACTION. THE NHIA IS THE DOMINANT "PAYER" OF HEALTH SERVICES FOR GHANAIANS AND AS SUCH, IT HAS THE POTENTIAL TO GREATLY IMPROVE PEOPLE'S HEALTH THROUGH IMPROVED SERVICE DELIVERY WHILE ALSO REDUCING COSTS. R4D CONTINUED TO SERVE AS THE NETWORK COORDINATOR FOR THE JOINT LEARNING NETWORK FOR UNIVERSAL HEALTH COVERAGE (JLN) - A MEMBER-DRIVEN COMMUNITY OF GLOBAL HEALTH POLICYMAKERS AND PRACTITIONERS WHO ARE WORKING TOGETHER TO COLLECTIVELY ADDRESS BARRIERS TO ACHIEVING UHC. IN 2016, THE NETWORK CONTINUED TO EXPAND AND DIVERSIFY AND NOW INCLUDES 27 COUNTRIES AT VARYING STAGES OF ECONOMIC DEVELOPMENT ACROSS FIVE GEOGRAPHIC REGIONS. IN JULY, R4D COORDINATED JLN'S FIRST-EVER NETWORK-WIDE MEETING, WHICH BROUGHT TOGETHER 150 PARTICIPANTS, INCLUDING REPRESENTATIVES FROM ALL JLN COUNTRIES, FUNDER ORGANIZATIONS AND TECHNICAL PARTNERS, TO DEVELOP A SHARED VISION FOR THE NEXT FIVE YEARS OF COLLABORATIVE LEARNING.
