Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 was prepared by an independent accounting firm based on information provided by the organization and in consultation with touch staff members and contracted accountants. The draft prepared by the accounting firm was then reviewed by touch's legal counsel and by touch's finance, legal and audit committee. A copy of the form was provided to the board of directors prior to filing the form 990 with the irs.

Form 990, Part VI, Section B, Line 12C

Touch has a well-established conflict of interest policy. All of its directors, officers and key employees are required to review the policy annually and complete a notification of compliance form. Touch's legal counsel determines whether a conflict exists and resolves any actual conflicts. Any board member with a conflict in a matter requiring action by the board is prohibited from participating in the board's deliberations or decisions regarding the matter under consideration.

Form 990, Part VI, Section B, Line 15

Compensation for senior management is determined and approved by touch's board of directors on the recommendation of the executive committee. No individuals with a conflict of interest may be involved in the compensation determination process. Comparability data for similarly qualified persons in functionally comparable positions at similarly situated organizations is prepared by the organization and reviewed annually by the executive committee of the board of directors. The minutes of the board of directors and the executive committee are contemporaneously documented with the board's and committee's deliberations and decisions regarding compensation.

Touch applies the provisions pertaining to uncertain tax provisions in fasb accounting standards codification ("asc") topic 740, income taxes, and has determined that there are no material uncertain tax positions that require recognition or disclosure in the financial statements. Touch is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress. Touch believes it is no longer subject to income tax examinations prior to 2017.

IN FEBRUARY 2020, AFTER THE INITIAL ROLLOUT, THE SYSTEM WAS DEPLOYED ACROSS ALL LGAS AND REGIONS WITHIN TANZANIA WITH THE PRESIDENT'S OFFICE, REGIONAL ADMINISTRATION AND LOCAL GOVERMENT(PORALG) MANDATING LGAS USE THE WISN+POA SYSTEM TO CREATE AND SUBMIT THEIR HRH PERMIT REQUESTS. IN DECEMBER 2019, THE WISN+POA LGA SYSTEM WAS COMPLETED AND TOUCH, IN COLLABORATION WITH THE USAID-FUNDED PUBLIC SECTOR SYSTEMS STRENGTHENING PROGRAM, DEPLOYED THE SYSTEM IN TWO KEY REGIONS. IN FEBRUARY 2020, AFTER THE INITIAL ROLLOUT, THE SYSTEM WAS DEPLOYED ACROSS ALL LGAS AND REGIONS WITHIN TANZANIA WITH PORALG MANDATING LGAS USE THE WISN+POA SYSTEM TO CREATE AND SUBMIT THEIR HRH PERMIT REQUESTS. PARALLEL TO THESE ACTIVITIES, PORALG REQUESTED THAT TOUCH INCREASE THE SCOPE OF THE WISN+POA SYSTEM TO INCLUDE ADDITIONAL CADRES AND FACILITY TYPES AND BRING THE SYSTEM TO THE NATIONAL LEVEL FOR USE ACROSS GOVERNMENT OF TANZANIA MINISTRIES. TOUCH SOLICITED A REQUEST FOR PROPOSALS FOR THE NEXT STAGE OF THE NATIONAL SYSTEM DESIGN, BUILD AND IMPLEMENTATION SELECTING THE UNIVERSITY OF DAR ES SALAAM. TOUCH PRODUCED A COMPREHENSIVE USER JOURNEY FOR EACH NATIONAL LEVEL USER, WHICH WAS PROVIDED TO THE SOFTWARE DEVELOPERS WHO USED IT TO BEGIN DEVELOPMENT OF THE SYSTEM.

TOUCH'S PAPER-BASED WORK ORDER MANAGEMENT SYSTEM, IMPLEMENTED OVER TWO YEARS AGO IN THE DEPARTMENT, IS NOW BEING TRANSITIONED TO AN IT-BASED SYSTEM, LEVERAGING DIRECT CO-INVESTMENT FROM BMC AND THE MINISTRY OF HEALTH.
