Governance Explanations

Form 990, Part VI, Section B, Line 11B

Kdp is committed to appropriate fiscal oversight by the board of directors. As such, kdp works to ensure the highest standards in review of its form 990. Prior to submission of kdp's form 990 to the irs, each voting member of the board of directors was provided with a copy of the draft form 990 as completed by the fiscal manager and reviewed by kdp's independent accounting firm. Board members were provided an opportunity to raise questions, make suggestions and address any potential problems or concerns.

Form 990, Part VI, Section B, Line 12C

Kdp regularly and consistently monitors and enforces compliance with its conflict of interest policy. Upon a board member's association with kdp, the board member is required to complete a questionnaire to fully and completely disclose the material facts about any actual or potential conflicts of interest. This statement must be updated annually by an "annual affirmation of compliance and disclosure statement". At such time that an actual or potential conflict arises, an additional disclosure statement must be filed. This policy applies to the board of directors and staff.

Form 990, Part VI, Section B, Line 15

Compensation arrangements must be approved in advance by the board of directors of kdp. When the board of directors is considering compensation, it must rely on comparability data that demonstrates the fair market value of the compensation in question. The data utilized can include expert compensation studies by independent firms, written job offers for positions at similar organizations, documented telephone calls about similar positions at nonprofit and for-profit organizations and information obtained from the irs form 990 filings of similar organizations. The board of directors must document how the board reached its decision, including the data on which it relied. The minutes must note: the amount of compensation and the date approved, the members of the board who were present during the debate, what was approved and those who voted on it; the comparability date obtained and relied upon and how date was obtained; and any actions taken with respect to compensation by anyone who is otherwise a member of the board but who has a conflict of interest with respect to the decision on the compensation.

Financial Statement Notes

PART X, LINE 2:

Management has assessed the organization's exposure to income taxes at the entity level as a result of uncertain tax positions taken in current and previously-filed tax returns. Examples of tax positions taken at the entity level include continuing qualification as a tax-exempt organization and conducting any taxable, unrelated-business income activities. Any tax benefits associated with uncertain tax positions that are in excess of a realization threshold must be recorded as a liability for unrecognized tax benefits in the financial statements, including any associated interest and penalties. Presently, management believes that it is more likely than not that its tax positions will be sustained upon examination, including, any appeals and litigation, and therefore, it believes the organization has no exposure to income taxes arising from uncertain tax positions.

FOLLOWING AN APPROVED REVISION TO THE SCOPE OF WORK PRIMARILY DUE TO COVID, KDP COLLABORATED WITH THE LABOR SCHOOL AT PENN STATE TO BETTER ENGAGE UNIONS AROUND APPRENTICESHIP AND WORKFORCE DEVELOPMENT. THE CULMINATION OF THIS WORK WAS A 3-PART SERIES OF WORKSHOPS TITLED "WORKFORCE DEVELOPMENT AND APPRENTICESHIP OPPORTUNITIES FOR UNIONS". THE WORKSHOPS INCLUDED AN OVERVIEW OF THE WORKFORCE DEVELOPMENT AND APPRENTICESHIP SYSTEM AS WELL AS A VISION FOR INCREASED LABOR INVOLVEMENT IN DRIVING WORKFORCE SOLUTIONS. THEY INCORPORATED THE LATEST DATA FROM THE KEYSTONE RESEARCH CENTER (KRC), EXPANDED ON THE CONNECTIONS BETWEEN TRADES AND NON-TRADES TRAINING AND HIRING MODELS, AND FEATURED SMALLER GROUP DISCUSSIONS ON APPRENTICESHIP OPPORTUNITIES AND CHALLENGES. IN ALL WORKSHOPS, PANELISTS REPRESENTING ESTABLISHED APPRENTICESHIP PROGRAMS, INNOVATIVE LABOR-MANAGEMENT WORKFORCE PROJECTS, AND NEW UNION-LED TRAINING AND EDUCATION INITIATIVES SHARED THEIR PERSPECTIVES ON HOW SUCCESSFUL WORKFORCE PARTNERSHIPS BENEFIT UNION MEMBERS AND THE WIDER COMMUNITIES WHERE THEY LIVE AND WORK. FUNDED BY THE U.S. DEPARTMENT OF LABOR (USDOL), THE CONTRACT SUPPORTS THE EXPANSION OF APPRENTICESHIP PROGRAMS IN THE MANUFACTURING AND HOSPITALITY SECTORS. KDP SERVES AS THE INTERMEDIARY FOR MANUFACTURING WORKING WITH THE AFL-CIO INDUSTRIAL UNION COUNCIL (IUC). IN THIS ROLE, KDP PROVIDES TECHNICAL ASSISTANCE AND FINANCIAL INCENTIVES TO UNIONS AND EMPLOYERS REGISTERING NEW APPRENTICES IN THE MANUFACTURING SECTOR. OVER THE FIRST FOUR YEARS OF THE PROJECT, KDP PROVIDED ASSISTANCE AND INCENTIVES RESULTING IN 1,441 NEW APPRENTICES. THIS IS EQUIVALENT TO 8.7% OF FY 2018 NATIONAL TOTAL. THROUGH THE CONTRACT, KDP PROMOTED THE BENEFIT OF THE INDUSTRIAL MANUFACTURING TECHNICIAN (IMT) APPRENTICESHIP PROGRAM WITH UNIONS AND EMPLOYERS. THE IMT APPRENTICESHIP WAS DEVELOPED TO MEET MANUFACTURING FIRMS' NEEDS TO UPGRADE THE SKILLS OF THE FRONTLINE PRODUCTION WORKERS.KDP SUPPORTED 879 APPRENTICES THROUGH THE PARTNERSHIP, MORE THAN TRIPLING OUR GOAL OF 250 APPRENTICES BY THE END OF THE GRANT PERIOD. THE RA NAVIGATOR IS AN APPRENTICESHIP PROGRAM THAT TRAINS PEOPLE TO START APPRENTICESHIP PROGRAMS. RA NAVIGATORS HELP GROW THE APPRENTICESHIP ECOSYSTEM THROUGH REGIONAL PARTNERSHIPS AND PROVIDE TECHNICAL ASSISTANCE TO UNIONS, EMPLOYERS, INDUSTRY ASSOCIATIONS, COMMUNITY ORGANIZATIONS, TRAINING PROVIDERS, AND THE WORKFORCE SYSTEM. THE ONE-YEAR APPRENTICESHIP PROGRAM INCLUDES 2,000 HOURS OF ON-THE-JOB TRAINING (OJT) PLUS 144 HOURS OF RELATED TECHNICAL INSTRUCTION (RTI). THE PILOT OF THE RA NAVIGATOR APPRENTICESHIP PROGRAM KICKED OFF IN SEPTEMBER 2019 IN SOUTHEAST PA IN PARTNERSHIP WITH PHILADELPHIA WORKS AND PENN STATE UNIVERSITY.
