“All board members, officers, and key employees of the organization are required to disclose any actual or possible conflict of interest with the governing board on an annual basis, each individual is required to fill out a declaration stating they had no conflicts or identifying the nature of their interested party transactions. In the case in which a conflict exists, the individual in question must recuse themselves from voting on the matter. Such matters involving the existence of conflicts of interest are to be documented in the minutes of the governing board.”

In order to ensure fair compensation among senior staff, dosomething looks at compensation of similarly placed organizations in nyc through their 990s and has consulted with several salary studies (including one done by an independent firm to assess salaries for ngos and tech companies in nyc).”
