“Management reviews the draft form 990 with the audit/finance committee and provides edits to the tax preparer. After this process is performed, the form 990 is sent to the full board prior to filing with the irs.”

“Board members are required to disclose any actual or possible conflict of interest with the governing board. On an annual basis, each board member is required to fill out a declaration stating they had no conflicts or identifying the nature of their interested party transactions. In the case in which a conflict exists, the individual in question must recuse themselves from voting on the matter. Such matters involving the existence of conflicts of interest are to be documented in the minutes of the governing board.”

“The dosomething senior staff, key employees and ceo are subject to the same compensation practices as the rest of the organization. Dosomething's salary policies are audited annually to ensure that they are both competitive and not overly generous in the marketplace of tech-focused non-profit organizations. This process is undertaken annually for all executive level staff (cto, vp of business development, coo, cmo and cpo) and was undertaken for the ceo most recently in february of 2018. The personnel committee approves the ceo's formal review and compensation annually and both are then sent to the full board for approval. The evaluation and process for raises/compensation structure will be recorded in the executive session of the may 2018 board meeting minutes. In order to ensure fair compensation among senior staff, dosomething looks at compensation of similarly placed organizations in nyc through their form 990s and has consulted with several salary studies (including one done by an independent firm to assess salaries for ngos and tech companies in nyc).”
