Governance Explanations

Form 990, Part VI, Section A, Line 2

Board members carla guggenheim and david hopkinson have a family relationship.

Form 990, Part VI, Section B, Line 11B

Dance notation bureau inc. Has its form 990 prepared by an outside accounting firm and has established the following review process to ensure that the information reported is complete and accurate. When the form 990 has been prepared, reviewed by management and is ready to be filed with the internal revenue service, it is electronically sent to the board members of the organization for any comments. Any comments are then grouped, summarized and provided to the outside accountants. Each issue is documented and addressed until the return is finalized and approved for filing.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy is applicable to the dance notation bureau directors and officers. This policy is monitored and enforced annually (in the last quarter of each fiscal year). If a director or officer believes that they may have a potential conflict, then they are required to disclose it to the governing board of the organization. After the disclosure is made, the governing body speaks with the interested person to understand the potential conflict. An interested person may make a presentation at the governing board or committee meeting, but after the presentation, she or he shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. The chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the governing board or committee shall determine whether the organization can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the organization's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination, it shall make its decision as to whether to enter into the transaction or arrangement. The minutes of the governing board contains any directors or officers that stated they may have potential conflict, and the resolution to such conflict.

Form 990, Part VI, Section B, Line 15

There are two officer positions within the organization: the executive director, and the director of finance and administration. The executive director is an unpaid position. The director of finance and administration was hired in 2006 in a part-time capacity of 20 hours per week. The process used to determine his compensation was to prorate the salary of the former full-time executive director, based on a 40 hour/week, $50,000 salary. Compensation was approved by the dnb board of directors and documented in the minutes. The compensation process for officers and directors was last updated in january of 2015 when the board of directors approved a 5% raise for the director of finance and administration. The director of finance has since reduced the number of hours worked weekly with no negative impacts to the organization's operation.

Form 990, Part VI, Section C, Line 19

The organization makes its form 990 available for public inspection as required under section 6104 of the internal revenue code. The return is posted on guidestar.org and other similar types of websites. In addition, the financial statements, conflict of interest policy, articles of incorporation and by-laws are also available upon written request at 178 east 109th street, #5, new york, ny 10029 or by calling the organization directly at (212)-571-7011.

THE DNB'S ARCHIVE IS LOCATED AT A STORAGE FACILITY IN LONG ISLAND CITY, QUEENS, NY. PATRONS WISHING TO EXAMINE SCORES AND RELATED MATERIAL MAY CONTINUE TO DO SO BY CALLING THE DNB LIBRARIAN AND REQUESTING THE MATERIAL BE SENT BY EMAIL (VIA PDF SCANS) OR BY REGULAR MAIL TO THEIR HOME OR INSTITUTIONAL ADDRESS. SELECTED SCORES ARE AVAILABLE FOR USE IN STAGING DANCES FOR PUBLIC PERFORMANCE THROUGH RENTAL AND CONTRACTUAL AGREEMENTS WITH THE DNB. SCORE RENTALS ARE A PRIMARY SOURCE OF REVENUE GENERATED BY THE DNB'S ARCHIVE. THE DNB'S ONLINE NOTATED THEATRICAL DANCES CATALOG, ACCESSIBLE TO ANYONE WITH AN INTERNET CONNECTION, ALLOWS PATRONS TO BROWSE INFORMATION ABOUT EACH SCORE IN THE COLLECTION. MANY OF THE SCORES IN THE DNB ARCHIVE HAVE KEPT DANCES FROM DISAPPEARING OVER THE YEARS, INCLUDING WORKS BY MERCE CUNNINGHAM AND GEORGE BALANCHINE. THE DNB ADDS NEW SCORES TO ITS COLLECTION AND TO THE ONLINE CATALOG EACH YEAR, THE PRODUCT OF OUR EFFORTS TO NOTATE IMPORTANT OLD AND NEW MODERN DANCE WORKS AND BALLETS. ARCHIVE BASED REVENUE DECREASED IN FY2020 AS A RESULT OF FEWER LABANOTATION SCORE RENTALS DUE TO THE PANDEMIC'S IMPACT ON THE PUBLIC PERFORMANCE OF THEATRICAL DANCE.

IRS990/ProgSrvcAccomActy3Grp/Desc0STAGING SERVICES: MANY OF THE DANCE SCORES IN THE DNB ARCHIVE ARE LICENSED FOR PERFORMANCE TO DANCE COMPANIES AND UNIVERSITIES, BY AGREEMENTS THAT WE HAVE IN PLACE WITH THE CHOREOGRAPHERS OR THEIR HEIRS. THE DNB COLLECTS LICENSE AND ROYALTY FEES ON BEHALF OF THE CHOREOGRAPHER WHEN A CONTRACT IS ENTERED INTO BETWEEN THE DNB AND THE ORGANIZATION LICENSING THE DANCE FOR PUBLIC PERFORMANCE. WHEN CALLED UPON, THE DNB WILL SUPPLY A STAGER WHO IS EXPERT IN READING LABANOTATION TO SET THE WORK ON THE DANCERS FROM THE SCORE. MORE THAN 500 CLIENTS, INCLUDING DANCE COMPANIES, SCHOOLS AND INDIVIDUALS HAVE CONTRACTED WITH THE DNB TO STAGE DANCES THAT WE LICENSE.STAGING CONTRACTS ARE USUALLY EXECUTED WITH DANCE COMPANIES, AND COLLEGE AND UNIVERSITY DEPARTMENTS MONTHS PRIOR TO THE SCHEDULED PERFORMANCES OF THE DANCE THAT IS THE SUBJECT OF THE CONTRACT. COVID-19 LOCKDOWNS AND RESTRICTIONS THAT BEGAN DOMESTICALLY IN MARCH 2020 PLACED A FREEZE ON UNIVERSITY DANCE DEPARTMENT AND DANCE COMPANY PLANS TO LICENSE DANCES FOR PERFORMANCE DURING 2020-2021 SCHOOL TERMS AND PROFESSIONAL PERFORMING SEASONS. AS A RESULT, THE NUMBER OF SIGNED CONTRACTS AND SCORE RENTALS FOR STAGINGS FELL FOR THE BALANCE OF FISCAL YEAR 2020. THIS TREND WILL PERSIST UNTIL COVID-19 IS NO LONGER A THREAT TO PUBLIC PERFORMANCES OF DANCE IN LIVE THEATRICAL SETTINGS. CONTRACTS WERE ALSO COMPLETED FOR THE LICENSING OF DANCES WHOSE PERFORMANCES WERE SUBSEQUENTLY POSTPONED DUE TO COVID-19 RESTRICTIONS, AS NOTED IN THE LISTING THAT FOLLOWS. IN THOSE CASES THE LICENSING PERIOD WILL BE EXTENDED FROM THE DATE AT WHICH LIVE PERFORMANCES CAN SAFELY BEGIN AGAIN WITH NO ADDITIONAL CHARGE TO THE LICENSEE. THE FOLLOWING STAGINGS OF DANCES FROM THE DNB SCORE ARCHIVE WERE EITHER CONTRACTED THROUGH THE DNB OR FACILITATED BY A SCORE RENTAL AGREEMENT WITH THE DNB DURING THE YEAR ENDING 06/30/2020. IRS990/ProgSrvcAccomActyOtherGrp/Desc0LABANOTATION: THE DNB PRESERVES DANCE LEGACIES AND PROMOTES DANCE LITERACY THROUGH THE TEACHING AND USE OF LABANOTATION TO RECORD AND STAGE CHOREOGRAPHED THEATRICAL DANCES. OUR PRINCIPAL MISSION IS TO ENSURE THAT THEATRICAL DANCES WILL CONTINUE TO BE PERFORMED IN VERSIONS TRUE TO THE CHOREOGRAPHER'S ARTISTIC VISION. TO FULLY CAPTURE THE DETAILS OF THE ARTIST'S INTENTIONS, THE DNB USES LABANOTATION, A SYMBOL SYSTEM FOR RECORDING HUMAN MOVEMENT, TO DOCUMENT DANCES ON BOTH PAPER AND DIGITAL MEDIA. INTRODUCED IN 1928, LABANOTATION IS CONSIDERED TO BE THE MOST EFFECTIVE AND COMPREHENSIVE SYSTEM TO OBJECTIVELY ANALYZE AND DESCRIBE HUMAN MOVEMENT IN SPACE AND TIME. THE DNB TYPICALLY RECEIVES FUNDING FROM GOVERNMENT AGENCIES, PRIVATE FOUNDATIONS AND INDIVIDUALS TO RECORD THEATRICAL DANCES USING THE LABANOTATION SYSTEM. THE DNB IS ALSO HIRED BY CHOREOGRAPHERS TO COMPLETE A LABANOTATION SCORE OF A DANCE WORK, OR OF SELECTED DANCE MOVEMENTS FROM A WORK. ON OCCASION, NOTATORS WILL COMPLETE SCORES FOR THE DNB ON A VOLUNTEER NO FEE BASIS.
