Governance Explanations

Form 990, Part VI, Section B, Line 11

Dance notation bureau inc. Has its form 990 prepared by an outside accounting firm and has established the following review process to ensure that the information reported is complete and accurate. When the form 990 has been prepared, reviewed by management and is ready to be filed with the internal revenue service, it is electronically sent to the board members of the organization for any comments. Any comments are then grouped, summarized and provided to the outside accountants. Each issue is documented and addressed until the return is finalized and approved for filing.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy is applicable to the dance notation bureau directors and officers. This policy is updated annually (in the last quarter of each fiscal year). If a director or officer believes that they may have a potential conflict, then they are required to disclose it with the governing board of the organization. After the disclosure is made, the governing body speaks with the interested person to understand the potential conflict. An interested person may make a presentation at the governing board or committee meeting, but after the presentation, she or he shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. The chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the governing board or committee shall determine whether the organization can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the organization's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination, it shall make its decision as to whether to enter into the transaction or arrangement. The minutes of the governing board contains any directors or officers that stated they may have potential conflict, and the resolution to such conflict.

Form 990, Part VI, Section B, Line 15A

Three officer positions were created to better focus on each of these areas: 1) director of finance and administration 2) director of programs 3) director of education since the prior executive director was paid $50,000/year for a full-time 40 hours per week position, and the dnb could not afford to pay in aggregate more than this amount, the above named positions were all made part time and salaries pro-rated based on a 40 hour/week, $50,000 aggregate salary. The division of labor and compensation was approved by the dnb board of directors and documented in the minutes. The compensation process for officers and directors was last updated in 2008; since then no officer or director has received a raise. In december 2012 the director of education resigned for family reasons. Her responsibilities were assumed by the executive director and the director of programs. The compensation process for non director/officer staff was updated in 2011.

Form 990, Part VI, Section C, Line 19

The organization makes its form 990 available for public inspection as required under section 6104 of the internal revenue code by posting it on guidestar.org and other similar types of websites. In addition, the financial statements, conflict of interest policy, articles of incorporation and by-laws are also available upon written request at 111 john street, new york, ny 10038-3123 or by calling the organization directly at (212)-571-7011.

IRS990/Desc0LABANOTATION: THE DNB PRESERVES DANCE LEGACIES AND PROMOTES DANCE LITERACY THROUGH THE TEACHING AND USE OF LABANOTATION TO RECORD AND STAGE CHOREOGRAPHED THEATRICAL DANCES. OUR PRINCIPAL MISSION IS TO ENSURE THAT THEATRICAL DANCES WILL CONTINUE TO BE PERFORMED IN VERSIONS TRUE TO THE CHOREOGRAPHER'S ARTISTIC VISION. TO FULLY CAPTURE THE DETAILS OF THE ARTIST'S INTENTIONS, THE DNB USES LABANOTATION, A SYMBOL SYSTEM FOR RECORDING HUMAN MOVEMENT, TO DOCUMENT DANCES ON BOTH PAPER AND DIGITAL MEDIA. INTRODUCED IN 1928, LABANOTATION IS CONSIDERED TO BE THE MOST EFFECTIVE AND COMPREHENSIVE SYSTEM TO OBJECTIVELY ANALYZE AND DESCRIBE HUMAN MOVEMENT IN SPACE AND TIME. THE DNB RECEIVES FUNDING FROM GOVERNMENT AGENCIES, PRIVATE FOUNDATIONS AND INDIVIDUALS TO RECORD THEATRICAL DANCES USING THE LABANOTATION SYSTEM. THE FOLLOWING LABANOTATION DANCE SCORES WERE EITHER IN PROGRESS OR COMPLETED IN THE YEAR ENDING JUNE 30, 2014:1)SPRING, SPRING, SPRING (MARK MORRIS, CHOREOGRAPHER, 2013) LABANOTATION SCORE COMPLETED IN MAY 2014. 2)CAKEWALK - FROM AMERICANA SUITE (KATHERINE DUNHAM, CHOREOGRAPHER, 1940) LABANOTATION SCORE COMPLETED IN AUGUST 2013. 3)BAD BLOOD (ULYSSES DOVE, CHOREOGRAPHER, 1984). SELECTED SECTIONS OF THE DANCE ARE SCHEDULED FOR COMPLETION IN SPRING 2015. EXPECTED SCORE COMPLETION IS IN 2016. DNB'S LABANOTATION PROGRAM INCLUDES AN ONGOING PROJECT TO DIGITIZE OLDER HANDWRITTEN LABANOTATION SCORES IN OUR LIBRARY. LABANWRITER, A SOFTWARE APPLICATION SIMILAR TO A WORD PROCESSOR, BUT EMPLOYING A PALLET OF NOTATION SYMBOLS, IS USED TO TRANSCRIBE HANDWRITTEN SCORES FOR THE PRODUCTION OF PUBLICATION READY COPY THAT CAN ALSO BE ARCHIVED DIGITALLY IN PDF FORMAT ON DISK OR CD-ROM. THE CRITERIA USED TO SELECT SCORES FOR TRANSCRIPTION INCLUDE THE PHYSICAL CONDITION OF THE SCORE, THE FREQUENCY WITH WHICH THE DANCE IS STAGED, AND THE HISTORICAL SIGNIFICANCE OF THE WORK. THE TRANSCRIPTION PROCESS ALSO BRINGS SCORES UP TO THE LATEST LABANOTATION GRAMMATICAL STANDARDS. THE FOLLOWING LABANOTATION SCORES (LISTED BY CHOREOGRAPHER / DANCE TITLE / YEAR CHOREOGRAPHED) WERE DIGITIZED BY THE USE OF LABANWRITER SOFTWARE DURING THE YEAR THAT ENDED JUNE 30, 2014. 1)ANNA SOKOLOW, DREAMS (1953: TRANSCRIPTION COMPLETED OCTOBER 20132)ANNA SOKOLOW STEPS OF SILENCE (1957: TRANSCRIPTION COMPLETED NOVEMBER 20133)HANYA HOLM, KISS ME KATE (1948): TRANSCRIPTION IN PROGRESS - 70% COMPLETE AS OF JUNE 2014.

IRS990/ProgSrvcAccomActy2Grp/Desc0LIBRARY / ARCHIVAL SERVICES: THE HEART OF THE DNB'S OPERATION IS ITS COLLECTION OF 828 LABANOTATION SCORES OF DANCES THAT HAVE BEEN CHOREOGRAPHED BY 286 DIFFERENT ARTISTS. THIS CORE COLLECTION IS SUPPLEMENTED BY MORE THAN 10,000 RELATED ITEMS THAT SUPPORT THE STAGING OF THE DANCES, INCLUDING PHOTOS, VIDEOS, MUSIC SCORES AND RECORDINGS, PROGRAMS, COSTUME SKETCHES, AND LIGHTING AND SCENERY DESIGNS - A COLLECTION THAT MAKES THE DNB A UNIQUE ARCHIVE IN THE WORLD OF DANCE. THE DNB'S ONLINE NOTATED THEATRICAL DANCES CATALOG, ACCESSIBLE TO ANYONE WITH AN INTERNET CONNECTION, ALLOWS PATRONS TO BROWSE INFORMATION ABOUT EACH SCORE IN THE COLLECTION. MANY OF THE SCORES IN THE DNB ARCHIVE HAVE KEPT DANCES FROM DISAPPEARING OVER THE YEARS, INCLUDING WORKS BY MERCE CUNNINGHAM AND GEORGE BALANCHINE. THE ARCHIVE IS OPEN MONDAYS THROUGH FRIDAYS FROM 10:00 AM 6:00 PM YEAR-ROUND, BY APPOINTMENT. WE ALSO MAIL MATERIALS TO PATRONS AT THEIR REQUEST. WE ADD NEW SCORES TO THE COLLECTION EACH YEAR, THE PRODUCT OF OUR EFFORTS TO NOTATE IMPORTANT OLD AND NEW MODERN DANCE WORKS AND BALLETS. ARCHIVAL PRESERVATION & DANCE RESEARCH SUPPORT: THE DNB CONTINUED TO ENHANCE ITS ONLINE PRESENCE IN FY14, WITH NEA FINANCIAL ASSISTANCE, BY ADDING DANCES TO OUR DIGITAL VIDEO ARCHIVE (DVA). THE DVA NOW CONSISTS OF PERFORMED EXCERPTS OF OVER 80 DANCES FROM OUR SCORE ARCHIVE. THE DVA IS LINKED TO THE DNB'S ONLINE CATALOG OF NOTATED THEATRICAL DANCE. DIGITIZED VIDEO CLIPS (AVERAGING 45 60 SECONDS IN DURATION) FROM THE DANCES SERVE AS A VISUAL AID TO THE DNB'S ONLINE SCORE CATALOG. THE VIDEO EXCERPTS OF A DANCE ARE SELECTED AND EDITED BASED ON A CAREFUL REVIEW OF THE LABANOTATION SCORE. THE INTENTION IS TO CAPTURE SECTIONS OF THE DANCE THAT ILLUSTRATE ITS ARTISTIC SIGNIFICANCE, ITS CENTRAL CHOREOGRAPHIC ELEMENTS AND STYLE, AND THE TECHNICAL SKILLS REQUIRED FOR PERFORMANCE. WE RECEIVE PERMISSION FROM THE CHOREOGRAPHER, OR HEIR, AND FOLLOW THE "FAIR USE" GUIDELINES PUBLISHED BY THE DANCE HERITAGE COALITION IN ITS STATEMENT OF BEST PRACTICES IN FAIR USE OF DANCE-RELATED MATERIALS (2009), WHICH HAS BEEN ENDORSED BY THE DANCE FILMS ASSOCIATION, AMONG OTHER ORGANIZATIONS. THE DVA IS HELPFUL TO COLLEGES AND DANCE COMPANIES IN SELECTING SUITABLE WORKS TO STAGE. EACH CLIP IS ACCOMPANIED ONLINE BY THE SECTION OF LABANOTATION SCORE CORRESPONDING TO THE DANCE MOVEMENTS IN THE VIDEO CLIP. READERS OF LABANOTATION CAN "READ-OFF" THE MOVEMENTS AS THEY VIEW THE CLIP. THE DVA INCLUDES A WIDE RANGE OF CHOREOGRAPHIC STYLES FROM MODERN AND CONTEMPORARY DANCE AND BALLET IN THE DNB'S COLLECTION OF SCORES: FROM SOPHIE MASLOW'S FOLKSAY (1942) TO BILL T. JONES'S FEVER SWAMP (1983) AND PILOBOLUS' BONSAI (1979). THE VIDEO CLIPS CAN BE ACCESSED EITHER VIA THE DNB WEBSITE OR DIRECTLY FROM THE DNB'S YOUTUBE CHANNEL: WWW.YOUTUBE.COM/DANCENOTATIONBUREAU. THE DANCE HERITAGE COALITION CONTINUED TO USE THE DNB AS THE NEW YORK CITY TECHICAL PROCESSING HUB FOR ITS PRESERVATION PROJECT FOR NEW YORK CITY BASED DANCE COMPANY ARCHIVES. THE HUB UPGRADES AND DIGITIZES NYC BASED CHOREOGRAPHER AND DANCE COMPANY ARCHIVAL MATERIAL, INCLUDING OLD FORMAT AUDIO AND VIDEO TAPES.
