Governance Explanations

Form 990, Part VI, Section A, Line 2

Board member carla guggenheim and david hopkinson have a family relationship.

Form 990, Part VI, Section B, Line 11

Dance notation bureau inc. Has its form 990 prepared by an outside accounting firm and has established the following review process to ensure that the information reported is complete and accurate. When the form 990 has been prepared, reviewed by management and is ready to be filed with the internal revenue service, it is electronically sent to the board members of the organization for any comments. Any comments are then grouped, summarized and provided to the outside accountants. Each issue is documented and addressed until the return is finalized and approved for filing.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy is applicable to the dance notation bureau directors and officers. This policy is monitored and enforced annually (in the last quarter of each fiscal year). If a director or officer believes that they may have a potential conflict, then they are required to disclose it to the governing board of the organization. After the disclosure is made, the governing body speaks with the interested person to understand the potential conflict. An interested person may make a presentation at the governing board or committee meeting, but after the presentation, she or he shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. The chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the governing board or committee shall determine whether the organization can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the organization's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination, it shall make its decision as to whether to enter into the transaction or arrangement. The minutes of the governing board contains any directors or officers that stated they may have potential conflict, and the resolution to such conflict.

Form 990, Part VI, Section B, Line 15

There are two officer positions within the organization: the executive director, and the director of finance and administration. The executive director is an unpaid position. The director of finance and administration was hired in 2006 in a part-time capacity of 20 hours per week. The process used to determine his compensation was to prorate the salary of the former full-time executive director, based on a 40 hour/week, $50,000 salary. Compensation was approved by the dnb board of directors and documented in the minutes. The compensation process for officers and directors was last updated in 2008; in january of 2015 the board of directors approved a 5% raise for the department of finance and administration.

Form 990, Part VI, Section C, Line 19

The organization makes its form 990 available for public inspection as required under section 6104 of the internal revenue code. The return is posted on guidestar.org and other similar types of websites. In addition, the financial statements, conflict of interest policy, articles of incorporation and by-laws are also available upon written request at 111 john street, new york, ny 10038-3123 or by calling the organization directly at (212)-571-7011.

IRS990/Desc0LABANOTATION: THE DNB PRESERVES DANCE LEGACIES AND PROMOTES DANCE LITERACY THROUGH THE TEACHING AND USE OF LABANOTATION TO RECORD AND STAGE CHOREOGRAPHED THEATRICAL DANCES. OUR PRINCIPAL MISSION IS TO ENSURE THAT THEATRICAL DANCES WILL CONTINUE TO BE PERFORMED IN VERSIONS TRUE TO THE CHOREOGRAPHER'S ARTISTIC VISION. TO FULLY CAPTURE THE DETAILS OF THE ARTIST'S INTENTIONS, THE DNB USES LABANOTATION, A SYMBOL SYSTEM FOR RECORDING HUMAN MOVEMENT, TO DOCUMENT DANCES ON BOTH PAPER AND DIGITAL MEDIA. INTRODUCED IN 1928, LABANOTATION IS CONSIDERED TO BE THE MOST EFFECTIVE AND COMPREHENSIVE SYSTEM TO OBJECTIVELY ANALYZE AND DESCRIBE HUMAN MOVEMENT IN SPACE AND TIME. THE DNB RECEIVES FUNDING FROM GOVERNMENT AGENCIES, PRIVATE FOUNDATIONS AND INDIVIDUALS TO RECORD THEATRICAL DANCES USING THE LABANOTATION SYSTEM. THE FOLLOWING LABANOTATION DANCE SCORES WERE EITHER IN PROGRESS OR COMPLETED IN THE YEAR ENDING JUNE 30, 2016:1)GLORIA (MARK MORRIS, CHOREOGRAPHER, 1984). LABANOTATION SCORE COMPLETED IN JANUARY 2016. 2)DARK MEADOW (MARTHA GRAHAM, CHOREOGRAPHER, 1946). LABANOTATION SCORE WAS COMPLETED IN JUNE 2016. 3)A FOREST (MARK MORRIS, 2016). MOVEMENT CAPTURE PHASE COMPLETED IN MAY 2016. THE LABANOTATION SCORE IS IN PROGRESS AND WILL BE COMPLETED IN JULY 2016.4)THE TABLE OF SILENCE (JACQULYN BUGLISI, CHOREOGRAPHER, 2011). MOVEMENT CAPTURE PHASE COMPLETED IN SEPTEMBER 2015. THE LABANOTATION SCORE WILL BE COMPETED AS FUNDING IS SECURED. COMPLETION IS TBD. 5)TRIO CON BRIO (ANTONY TUDOR, CHOREOGRAPHER, 1952). LABANOTATION SCORE IN PROGRESS. SCHEDULED COMPLETION IS TBD. 6)WIND VON WEST (PINA BAUSCH, CHOREOGRAPHER, 1975). THE LABANOTATION SCORE IS IN PROGRESS, AND WILL BE COMPLETED AS FUNDING IS SECURED. A LABANOTATION SCORE OF A SECOND SECTION OF THE DANCE WAS COMPLETED IN JUNE 2016; A THIRD SECTION IS IN PROGRESS AND SCHEDULED FOR COMPLETION IN AUGUST 2016. DNB'S LABANOTATION PROGRAM INCLUDES AN ONGOING PROJECT TO DIGITIZE OLDER HANDWRITTEN LABANOTATION SCORES IN OUR LIBRARY. LABANWRITER, A SOFTWARE APPLICATION SIMILAR TO A WORD PROCESSOR, BUT EMPLOYING A PALLET OF NOTATION SYMBOLS, IS USED TO TRANSCRIBE HANDWRITTEN SCORES FOR THE PRODUCTION OF PUBLICATION READY COPY THAT CAN ALSO BE ARCHIVED DIGITALLY IN PDF FORMAT ON DISK OR CD-ROM. THE CRITERIA USED TO SELECT SCORES FOR TRANSCRIPTION INCLUDE THE PHYSICAL CONDITION OF THE SCORE, THE FREQUENCY WITH WHICH THE DANCE IS STAGED, AND THE HISTORICAL SIGNIFICANCE OF THE WORK. THE TRANSCRIPTION PROCESS ALSO BRINGS SCORES UP TO THE LATEST LABANOTATION GRAMMATICAL STANDARDS. THE FOLLOWING LABANOTATION SCORES (LISTED BY CHOREOGRAPHER / DANCE TITLE / YEAR CHOREOGRAPHED) WERE IN THE PROCESS OF DIGITIZATION BY THE USE OF LABANWRITER SOFTWARE DURING THE YEAR THAT ENDED JUNE 30, 2016. 1)HANYA HOLM, KISS ME KATE (1957): TRANSCRIPTION COMPLETED SEPTEMBER 2015. 2)CHARLES WEIDMAN, BARGAIN COUNTER FROM ATAVISMS (1936): TRANSCRIPTION COMPLETED DECEMBER 2015. 3)ALEX MARTIN, THREE DANCES FOR JN (1970): TRANSCRIPTION COMPLETED JULY 2015.
