Governance Explanations

Form 990, Part VI, Section A, line 2

Board members Carla Guggenheim and David Hopkinson have a family relationship.

Form 990, Part VI, Section B, line 11B

Dance Notation Bureau Inc. has its form 990 prepared by an outside accounting firm and has established the following review process to ensure that the information reported is complete and accurate. When the Form 990 has been prepared, reviewed by management and is ready to be filed with the Internal Revenue Service, it is electronically sent to the board members of the organization for any comments. Any comments are then grouped, summarized and provided to the outside accountants. Each issue is documented and addressed until the return is finalized and approved for filing.

Form 990, Part VI, Section B, line 12C

The conflict of interest policy is applicable to the Dance Notation Bureau directors and officers. This policy is monitored and enforced annually (in the last quarter of each fiscal year). If a director or officer believes that they may have a potential conflict, then they are required to disclose it to the governing board of the organization. After the disclosure is made, the governing body speaks with the interested person to understand the potential conflict. An interested person may make a presentation at the governing board or committee meeting, but after the presentation, she or he shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. The chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the governing board or committee shall determine whether the Organization can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the Organization's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination, it shall make its decision as to whether to enter into the transaction or arrangement. The minutes of the governing board contains any directors or officers that stated they may have potential conflict, and the resolution to such conflict.

Form 990, Part VI, Section B, line 15

There are two officer positions within the organization: the Executive Director, and the Director of Finance and Administration. The Executive Director is an unpaid position. The Director of Finance and Administration was hired in 2006 in a part-time capacity of 20 hours per week. The process used to determine his compensation was to prorate the salary of the former full-time Executive director, based on a 40 hour/week, $50,000 salary. Compensation was approved by the DNB Board of Directors and documented in the minutes. The compensation process for officers and directors was last updated in January of 2015 when the board of directors approved a 5% raise for the department of finance and administration.

Form 990, Part VI, Section C, line 19

The Organization makes its form 990 available for public inspection as required under section 6104 of the Internal Revenue Code. The return is posted on guidestar.org and other similar types of websites. In addition, the financial statements, conflict of interest policy, articles of incorporation and by-laws are also available upon written request at 178 East 109th Street, #5, New York, NY 10029 or by calling the organization directly at (212)-571-7011.

IRS990/Desc0Library/Archival Services: The heart of the DNB's operation is its collection of 832 Labanotation scores of dances that have been choreographed by 286 different artists. This core collection is supplemented by related items that support the staging of the dances, including photos, videos, music scores and recordings, programs, costume sketches, and lighting and scenery designs - a collection that makes the DNB a unique archive in the world of dance. The DNB's Online Notated Theatrical Dances Catalog, accessible to anyone with an Internet connection, allows patrons to browse information about each score in the collection. Many of the scores in the DNB archive have kept dances from disappearing over the years, including works by Merce Cunningham and George Balanchine. The archive was open during fiscal 2017 on Mondays through Fridays from 10:00 AM - 5:00 PM, by appointment. The DNB mails score materials to patrons at their request. We add new scores to the collection each year, the product of our efforts to notate important old and new modern dance works and ballets.

IRS990/ProgSrvcAccomActy2Grp/Desc0Labanotation: The DNB preserves dance legacies and promotes dance literacy through the teaching and use of Labanotation to record and stage choreographed theatrical dances. Our principal mission is to ensure that theatrical dances will continue to be performed in versions true to the choreographer's artistic vision. To fully capture the details of the artist's intentions, the DNB uses Labanotation, a symbol system for recording human movement, to document dances on both paper and digital media. Introduced in 1928, Labanotation is considered to be the most effective and comprehensive system to objectively analyze and describe human movement in space and time. The DNB typically receives funding from government agencies, private foundations and individuals to record theatrical dances using the Labanotation system. The DNB did not receive revenue from any of these funding sources during FY2017. We continued in 2017 to work on notation projects, completing scores of two dances and a significant section of the score to a third dance. The work was funded by general operating revenue, principally the earnings from an endowment fund. The DNB's executive director, a certified Labanotator completed a Labanotation score at no cost to the DNB. In August and September 2016, the DNB terminated two notators on its staff due to lack of Labanotation-specific funding for the fiscal year. The following Labanotation dance scores were either in progress or completed in the year ending June 30, 2017:1) A Forest (Mark Morris, 2016). The Labanotation score was completed in July 2016.2) Twelve Contra Dances (Remy Charlip, choreographer, 1980) A Labanotation score for two dancers (duets) was completed in June 2017. A second version of the score for 5 pairs of dancers -- is in progress and is scheduled for completion in September 2017.3)The Table of Silence (Jacqulyn Buglisi, choreographer, 2011). Movement capture phase completed in September 2015. The Labanotation score will be competed as funding is secured. Completion is TBD. 4)Trio Con Brio (Antony Tudor, choreographer, 1952). Labanotation score in progress. Scheduled completion is TBD. 5)Wind von West (Pina Bausch, choreographer, 1975). The Labanotation score is in progress, and will be completed as funding is secured. A Labanotation score the third section of the dance was completed in September 2016. The notation of the fourth section of the dance is projected to be completed in April 2018.
IRS990/ProgSrvcAccomActy2Grp/ExpenseAmt038125
IRS990/ProgSrvcAccomActy3Grp/Desc0Education: The DNB offers correspondence courses in both Elementary and Intermediate Labanotation, and online courses in Movement Observation and MOTIF Notation. Intensive one to two-week workshops in Elementary Labanotation and Motif Notation have been developed in Chinese and are conducted in Beijing and Nanjing, China by a DNB staff member who is fluent in Mandarin. Two-Week intensive summer Workshops in Elementary, Intermediate, and Advanced Labanotation are held in New York City and attended by students from the US, South America, Europe, and China. All two-week Labanotation and Motif workshops are comparable to a 3-credit college offering in the subject. The DNB held the following workshops during Fiscal 2017:1) A two-week workshop in Intermediate Labanotation was held in New York City during July 2016.2) Two workshops in Motif Notation were held at Beijing Normal University in China during July 2016.3) A workshop in Motif Notation was held in Nanjing, China during September 2016.4) DNB hosted a Labanotation Theory Session in November.

IRS990/ProgSrvcAccomActyOtherGrp/Desc0Staging Services: Many of the dance scores in the DNB Archive are licensed for performance to dance companies and universities, by agreements that we have in place with the choreographers or their heirs. The DNB collects license and royalty fees on behalf of the choreographer when a contract is entered into between the DNB and the organization licensing the dance for public performances. When called upon, the DNB will supply a stager who is expert in reading Labanotation to set the work on the dancers from the score. More than 500 clients, including dance companies, schools and individuals have contracted with the DNB to stage dances that we license. The DNB completed the following 10 staging contracts for dances in the year ending 06/30/17, yielding 32 contracted performances of the works through spring 2017. We estimate that in aggregate 10,000 patrons attended these performances. University dance departments and dance companies in the United States, and France contracted for the performances. For each dance contracted in FY 2017, the following list includes: the name of the dance, followed by the choreographer's name, the name of the dance company or university that contracted for the dance, and the location of the performances (city / state or country). 1) Little Improvisations / Antony Tudor: Ballet Chesapeake, Baltimore, MD.2) Little Improvisations / Antony Tudor: New York Theatre Ballet, New York, NY.3) Negro Spirituals / Helen Tamiris: Ella Rosewood Dance, New York, NY. 4) Go Down Moses (from Negro Spirituals) / Helen Tamiris: Chamber Dance Company, University of Washington, Seattle WA.5) Ritmo Jondo / Doris Humphrey: Dance Now!, Miami, FL. 6) Continuo / Antony Tudor: Point Park University, Pittsburgh, PA. 7) Day on Earth / Doris Humphrey: sjDANCEco, San Jose, CA. 8) Brahms Waltzes / Charles Weidman: Montclair State University, Montclair, NJ.9) White Nautch / Ruth St. Denis: Compagnie L'Octogonale, La Reunion, France10) Siamese / Ruth St. Denis: Compagnie L'Octogonale, La Reunion, France
