In conformity with the above determination, it shall make its decision as to whether to enter into the transaction or arrangement. The minutes of the governing board contain any directors or officers that stated they may have a potential conflict and the resolution to such conflict.”

The director of finance and administration was hired in 2006 in a part-time capacity of 20 hours per week. The process used to determine his compensation was to prorate the salary of the former full-time executive director, based on a 40 hour/week, $50,000 salary. Compensation was approved by the dnb board of directors and documented in the minutes. The compensation process for officers and directors was last updated in january of 2015 when the board of directors approved a raise for the director of finance and administration.”
