Manhattan college is a lasallian catholic educational institution founded in 1853 by the de la salle christian brothers, a religious teaching order started by saint john baptist de la salle, the patron saint of teachers. Governance Explanations

Form 990, Part VI, Section B, Line 11B

Manhattan college has its form 990 prepared by an outside accounting firm and has established the following review process to ensure that the information reported is complete and accurate. A complete copy of the 990 return is given to the vp for finance and administration and the controller for review prior to filing.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy is included in the employee handbook and covers all college staff. Annually, the office of human resources requires all senior academic and administrative staff, those in a position to influence college decisions, and members of the board of trustees to sign and return a copy of the conflict of interest form. Covered persons having a conflict are required to call it to the attention of the vice president for finance and the vice president of human resources. All conflict of interest issues are investigated by the office of human resources/vice president of human resources. If needed the vice president of human resources confers with the appropriate personnel (i.e., vice president, board committee, president and/or chair of the board) to resolve conflicts of interest. A covered person having a conflict of interest shall not participate in any decision making meeting on the subject, will not make a decision on the matter, and will not try to influence the college's decisions.

Form 990, Part VI, Section B, Line 15

The organization has a process to approve the president's employment agreement. The vp of human resources working with attorneys specializing in higher education and benefits/pensions and a sub-committee of trustees from the board's executive committee review the proposed contract against industry data compiled of presidents' compensation from many colleges and universities deemed to be similar to manhattan college, and the cupa (college and university professional association) administrative compensation survey. After review and consideration of factors, the sub-committee presents the data and proposed employment agreement terms to the executive committee, which in turn presents the agreement for approval by the board of trustees. Salaries for officers and key employees are reviewed on an annual basis and are in line with salary surveys that report on institutions of higher education salaries (i.e., cupa administrative compensation survey). The salaries are reviewed by the vice president of human resources and the president of the college. The vice president of human resources also works with the vice president of finance. Records are maintained by manhattan college documenting the compensation review process.

Form 990, Part VII, Section A

Compensation paid to the president: the president is a religious member of the brothers of the christian schools of manhattan college (the order) and has taken a vow of poverty and is provided with zero ($0) compensation from the college. All compensation that would have been paid to the president on behalf of the services provided to manhattan college is instead paid to his religious order (christian brothers) rather than to the individual. Manhattan college paid the order an amount of $193,721 for the services the president (brother daniel gardner) provided to the college.

The college recognizes the effects of income tax positions only if those positions are more likely than not of being sustained. The college evaluates, on an annual basis, the effects of any uncertain tax positions on its financial statements.
