Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 is presented to the finance/audit committee of the board and to the executive director and controller before it is filed with the irs. It is circulated to the board prior to filing. Once accepted at this meeting it is presented to the whole board by the finance/audit committee chairman. Each board member receives a copy.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy is required to be reviewed by the board of directors and employees annually. The conflict of interest statement is then signed by the board, executive director, and staff. Each board member must complete a conflict of interest questionaire to disclose any conflict of interest or potential conflict of interest. If the board of directors determines that an actual or possible conflict of interest was not disclosed, a corrective action is taken. Any conflicted person is required not to be present during the decision making process.

Form 990, Part VI, Section B, Line 15

The personnel committee along with the board of directors regularly reviews all compensation matters. The board of directors reviews comparable salary data of similar sized agencies from 990's before final approval of salary changes for the executive director. The 2016 salaries were based on a review conducted in 2015. Subsequently, another review was done in november 2016.

Form 990, Part VI, Section C, Line 19

The organization's governing documents, conflict of interest policy and financial statements are available to the public upon request.
