“A conflict of interest policy covers officers and directors, who are required to disclose potential conflicts annually in writing and prior to any vote by the board of directors in which a conflict exists or appears to exist. The board of directors determines if an actual or apparent conflict exists and is responsible for any required review and action. In all cases, board members recuse themselves from voting in case of conflicts of interest. Additionally, a conflict of interest policy is included in the employee policy manual. Upon hire, employees are required to read it and acknowledge that they are familiar with and will observe the policy; actual, potential or perceived conflicts must be reported to executive management for review prior to the relevant decision.”

“The governance committee, on behalf of the board, engaged an outside consultant to review the executive compensation of rlf's peers, to assess rlf's executive compensation, and to provide an independent opinion regarding the reasonableness of rlf's executive compensation. This process was documented. The positions of president, secretary, and treasurer were included in this assessment along with other key employees. This process is undertaken every 3 years and was last completed in 2024. Outside of this process, the president's compensation review is completed annually by the governance committee, on behalf of the board and is documented. Part vii, section a: resources legacy fund (rlf) is party to a cost reimbursement arrangement with two other not-for-profit organizations, fund for a better future, inc., and shared ascent fund, under which those two organizations reimburse rlf for direct and indirect costs, including personnel costs. The w-2 compensation for 2024 reported by resources legacy fund for avi garbow, rosina bugarin, helena choi, and matthew armsby totaled $670,535, $304,996, $298,947, and $306,352 respectively. Fund for a better future and shared ascent fund reimbursed rlf a total of $70,729, $63,656, $26,499, and $40,604, for salary costs for these four employees. The net amount - $599,806 for avi garbow, $241,340 for rosina bugarin, $272,448 for helena choi, and $265,748 for matthew armsby - has been included as reportable compensation on part vii of the 990 for rlf for those individuals. The reimbursed amounts are reported on part vii of the 990 for fund for a better future and shared ascent fund. Rlf also follows the same approach for shared employees not serving in an officer capacity at fbf or saf.”
