Michael mantell, mary scoonover, and shauna manner are officers of rlf and have a business relationship - michael and mary are owners of resources law group (rlg) and shauna is employed by rlg.

The organization made the following changes to its bylaws: - increased the maximum number of directors from 11 to 15 - changed the quorum requirement from 1/5 to 1/3 of the authorized number of directors or 2 directors, whichever is larger - extended the compensation determination requirement to the cfo.

A conflict of interest policy covers officers and directors, who are required to disclose potential conflicts annually in writing. The board of directors determines if an actual conflict exists and is responsible for any required review and action. Additionally, a conflict of interest policy is included in the employee policy manual. Upon hire, employees are required to read it and acknowledge that they are familiar with and will observe the policy.

The governance committee, on behalf of the board, engaged an outside consultant to review the executive compensation of rlf's peers, to assess rlf's executive compensation, and to provide an independent opinion regarding the reasonableness of rlf's executive compensation. The positions of president, executive vice president, and chief financial officer were included in this assessment. This process was last undertaken in 2015. On a bi-annual basis, the president reviews compensation survey data and compensation data from several similar organizations, combines it with his awareness of compensation practices gained through his professional and volunteer affiliations, and establishes a reasonable compensation level for the key employees. SELECT RLF ACCOMPLISHMENTS DURING 2015 INCLUDE THE FOLLOWING:RLF COORDINATED AND SUPPORTED THE EARLY 2015 COMPLETION OF A PUBLIC PROCESS FOR DEVELOPING A PLAN FOR ENSURING THE LONG-TERM SUSTAINABILITY OF CALIFORNIA'S STATE PARKS. THE PLAN RESULTED FROM MORE THAN 18 MONTHS OF RESEARCH, OUTREACH, AND COORDINATION BETWEEN A PUBLICLY APPOINTED COMMISSION, KEY STATE AGENCIES, AND THE ADMINISTRATION OF THE GOVERNOR OF CALIFORNIA. IT DETAILED A FUNDAMENTAL TRANSFORMATION OF THE STATE'S PARK SYSTEM, AND RECOMMENDED MAJOR CHANGES TO MODERNIZE THE SYSTEM, ENGAGE PARTNERS, AND EXPAND ACCESS. AFTER THE PLAN'S COMPLETION, RLF CONTINUED TO WORK WITH THE CALIFORNIA DEPARTMENT OF PARKS AND RECREATION TO IMPLEMENT THE RECOMMENDATIONS THROUGH THE DEPARTMENT'S TRANSFORMATION INITIATIVE.RLF LAUNCHED THE CALIFORNIA DROUGHT ACTION INITIATIVE-COMPRISING A RANGE OF TARGETED OUTREACH AND EDUCATION EFFORTS-WITH THE AIM USING DROUGHT-AMPLIFIED PUBLIC AND DECISION-MAKER ATTENTION TO ADVANCE CHANGES IN HOW THE STATE MANAGES ITS WATER. THIS INCLUDED SUPPORTING EFFORTS TO (1) DRIVE CREATION OF A ROBUST, STATEWIDE WATER MARKET BY ESTABLISHING A COMPREHENSIVE AND ACCESSIBLE WATER DATA SYSTEM; (2) SECURE SUSTAINABLE FUNDING FOR DEVELOPMENT OF NEW LOCAL WATER SOURCES SUCH AS CAPTURED STORMWATER AND RECYCLED WASTEWATER; AND (3) ENSURE THAT ALL CALIFORNIA COMMUNITIES HAVE ADEQUATE, SUSTAINABLE, AND AFFORDABLE SUPPLIES OF SAFE DRINKING WATER. TO PROMOTE SUSTAINABLE FISHERIES WORLDWIDE, RLF PROVIDED SUPPORT TO OVERCOME FINANCIAL AND TECHNICAL OBSTACLES TO FISHERY AND STAKEHOLDER PARTICIPATION IN THE MARINE STEWARDSHIP COUNCIL (MSC) FISHERY CERTIFICATION PROGRAM. FOR EXAMPLE, RLF GRANTS SUPPORTED MULTI-FISHERY PRE-ASSESSMENTS IN FRANCE, SPAIN, ICELAND, AND JAMAICA; DESIGN OF FISHERY IMPROVEMENT PROJECTS FOR SEVEN SMALL-SCALE FISHERIES IN BRAZIL; AND TESTING OF A CAPACITY BUILDING TOOLKIT FOR DEVELOPING INTERNATIONAL STAKEHOLDERS SEEKING TO ENGAGE IN FISHERY IMPROVEMENT PROJECTS ALIGNED WITH THE MSC STANDARD. IN ADDITION, TO ENABLE FISHERIES MANAGED BY THE STATE OF CALIFORNIA TO MEET GLOBAL STANDARDS FOR MANAGEMENT AND SUSTAINABILITY, RLF SUPPORTED THE TESTING OF TOOLS FOR ANALYZING THE STATUS AND PERFORMANCE OF CALIFORNIA FISHERIES; DEVELOPMENT OF MORE EFFECTIVE APPROACHES TO STAKEHOLDER ENGAGEMENT; AND SCOPING AN ASSESSMENT OF STATE FISHERIES DATA COLLECTION, MANAGEMENT, AND ANALYSIS PROGRAMS.RLF WORKED WITH THE SAN FRANCISCO BAYLANDS STEERING COMMITTEE, MANAGING A PUBLIC EDUCATION CAMPAIGN, OUR BAY ON THE BRINK, TO INFORM THE PUBLIC ABOUT SIGNIFICANT ENVIRONMENTAL THREATS TO THE SAN FRANCISCO BAY AND POTENTIAL SOLUTIONS. USING TARGETED DIGITAL MEDIA, EARNED MEDIA, BILLBOARDS, AND MAIL, THE OUTREACH CAMPAIGN INCREASED UNDERSTANDING OF FLOOD AND SEA LEVEL RISE IMPACTS AS WELL AS THREATS TO WILDLIFE AND COMMUNITIES.IN NORTHWEST MEXICO, RLF SUPPORTED THE PROTECTION OF 14,033 STRATEGICALLY TARGETED ACRES, AS WELL AS GRANTEE ACTIVITIES THAT IMPLEMENTED COMPLEMENTARY ORGANIZATIONAL CAPACITY, COMMUNICATION, SCIENCE, AND OTHER STRATEGIES TO ADVANCE CONSERVATION IN THE REGION.
