Resources legacy fund in march of 2016 amended its bylaws to create three classes of directors, with staggered four year terms, and to allow the board to waive the requirement of a one year absence following three consecutive terms before serving another term. In december of 2016, rlf amended its articles of incorporation to expand its mission, to include charitable and educational activities that promote conservation of the environment and natural resources, education, and healthy communities.

The 990 is prepared by outside tax accountants, reviewed by the director of finance, director of operations and the president of resources legacy fund, and the audit committee. It is then sent to all voting members before filing.

A conflict of interest policy covers officers and directors, who are required to disclose potential conflicts annually in writing. The board of directors determines if an actual conflict exists and is responsible for any required review and action. Additionally, a conflict of interest policy is included in the employee policy manual. Upon hire, employees are required to read it and acknowledge that they are familiar with and will observe the policy.

The governance committee, on behalf of the board, engaged an outside consultant to review the executive compensation of rlf's peers, to assess rlf's executive compensation, and to provide an independent opinion regarding the reasonableness of rlf's executive compensation. The positions of president and executive vice president were included in this assessment. This process was last undertaken in 2015. Every two to three years, the president reviews comparative data of salaries and benefits from surveys of foundations, similar nonprofit organizations in the west, and/or law or environmental consulting firms, selected based on data availability and similarity of positions, for a comparative analysis of the california market and of similar positions to those at rlf. This data informs the development of and adjustments to salary ranges for each position. The president establishes a reasonable compensation level for the individual employees, taking into consideration the salary ranges, his awareness of compensation practices gained through his professional and volunteer affiliations, and other factors. This process was last undertaken in 2017.

SELECT RLF ACCOMPLISHMENTS DURING 2016 INCLUDE THE FOLLOWING: IN LATE NOVEMBER, RLF LAUNCHED A NEW INITIATIVE TO SUPPORT LOCAL COMMUNITY EFFORTS TO REMOVE OBSOLETE DAMS, MODERNIZE INFRASTRUCTURE, AND RESTORE RIVERS ACROSS THE WESTERN UNITED STATES. THE OVERARCHING AIM IS TO CREATE SIGNIFICANT ECONOMIC, COMMUNITY, AND ENVIRONMENTAL BENEFITS BY UNDERTAKING PROJECTS WITH WIDESPREAD COMMUNITY SUPPORT AND COLLABORATION. IT WILL ALSO TEST NEW MODELS FOR REDUCING THE SIGNIFICANT FINANCIAL, LEGAL, AND STRUCTURAL HURDLES THAT HAVE STALLED PROGRESS IN ADVANCING SOME OF THESE PROJECTS, AND EMPOWER COMMUNITIES TO ADDRESS THEIR ENVIRONMENTAL AND INFRASTRUCTURE NEEDS. INITIAL PROJECTS INCLUDE REMOVAL OF MATILIJA DAM ON MATILIJA CREEK (TRIBUTARY TO THE VENTURA RIVER IN CALIFORNIA) ALONG WITH RESTORATION OF THE VENTURA RIVER WATERSHED AND DEVELOPMENT OF THE VENTURA RIVER PARKWAY; DAM REMOVAL AND RESTORATION PROJECTS ON KEY ROGUE RIVER TRIBUTARIES IN OREGON; AND REMOVAL OF THE NELSON DAM AND RESTORATION ON THE NACHES RIVER (TRIBUTARY TO THE YAKIMA RIVER IN WASHINGTON). DURING THE SUMMER, RLF GRANTS HELPED DRIVE PASSAGE OF TWO KEY BILLS THROUGH THE CALIFORNIA STATE LEGISLATURE. THE FIRST WAS AB 1755 (DODD), THE OPEN AND TRANSPARENT WATER DATA ACT, WHICH DIRECTED THE DEPARTMENT OF WATER RESOURCES TO CREATE A STATEWIDE WATER INFORMATION SYSTEM THAT INTEGRATES EXISTING WATER AND ECOLOGICAL DATA. IT WILL SUPPORT A MORE EFFICIENT WATER MARKET BY MAKING INFORMATION ON AVAILABLE WATER SUPPLY AND THE VALUE OF WATER MORE TRANSPARENT. IN ADDITION, RLF GRANTEES SUPPORTED PASSAGE OF SB 1263 (WIECKOWSKI), THE NEW PUBLIC WATER SYSTEMS ACT, THAT ESTABLISHED NEW REQUIREMENTS BEFORE A NEW PUBLIC WATER SYSTEM MAY BE PERMITTED, IN ORDER TO AVOID THE CONTINUED PROLIFERATION OF UNSUSTAINABLE SMALL PUBLIC WATER SYSTEMS. TO PROMOTE SUSTAINABLE FISHERIES WORLDWIDE, RLF PROVIDED SUPPORT TO OVERCOME FINANCIAL AND TECHNICAL OBSTACLES TO FISHERY AND STAKEHOLDER PARTICIPATION IN THE MARINE STEWARDSHIP COUNCIL (MSC) FISHERY CERTIFICATION PROGRAM AND TO SUPPORT FISHERY IMPROVEMENT PROJECT DESIGN. FOR EXAMPLE, RLF GRANTS SUPPORTED FISHERY ASSESSMENTS AND FISHERY IMPROVEMENT PROJECT DESIGN IN CHILE, CHINA, THE COOK ISLANDS, THE GAMBIA, JAPAN, AND THE US. IN ADDITION, TO ENABLE FISHERIES MANAGED BY THE STATE OF CALIFORNIA TO MEET GLOBAL STANDARDS FOR MANAGEMENT AND SUSTAINABILITY, RLF SUPPORTED THE TESTING OF TOOLS FOR ANALYZING THE STATUS AND PERFORMANCE OF CALIFORNIA FISHERIES; DEVELOPMENT OF MORE EFFECTIVE APPROACHES TO STAKEHOLDER ENGAGEMENT; AND SCOPING AN ASSESSMENT OF STATE FISHERIES DATA COLLECTION, MANAGEMENT, AND ANALYSIS PROGRAMS.
