Conflict of interest policy - for members of the board of directors of the los angeles spca/southern california humane society the los angeles spca/southern california humane society (hereafter laspca) is engaged in a variety of activities that have the common goal of promoting the interests of the laspca. The activities of the laspca are often conducted in conjunction with programs and contractual arrangements that involve other parties and organizations. The laspca's reputation and relationships with outside organizations and individuals, as well as its relationships among its directors and donors, are of utmost importance. In addition, these relationships are often the product of substantial investments of the laspca's resources, energies and efforts. The laspca therefore has a strong interest in all of its activities and must maintain policies that are designed to protect its financial interests. A key policy is that members of the board of directors, as fiduciaries of the laspca, must comply with this conflict of interest policy. The policy recognizes that the laspca has the obligation and the right to insist upon the undivided loyalty of its directors throughout the term of their service. In keeping with this obligation, the laspca requires the following commitments from its directors, subject to the provisions of all applicable federal, state and local laws: 1. Every director has a legal and ethical responsibility to promote the laspca's best interests. No director may engage in any conduct or activities that are inconsistent with the laspca's best interests or that in any manner disrupts, undermines or impairs the laspca's relationships with any laspca supporter or donor, or any outside organization, person or entity with which the company has or proposes to enter into an arrangement, agreement or contractual relationship of any kind. 2. Directors must not, either during or subsequent to the term of their service, interfere with, disrupt or impair any relationship between the laspca and any employee, consultant, representative or any outside organization with which the laspca has or proposes to enter into a contractual relationship, arrangement or program. 3. Directors, including a director's spouse or immediate family member, may not engage in any outside activity or accept a position in any outside organization that either interferes with their ability to devote their full and best efforts to the laspca's interests or raises an actual or potential conflict of interest or the possible appearance of a conflict of interest. Activities which may raise an actual or potential conflict of interest include, but not limited to, the following: (a) accepting employment from, serving on the board of or providing services directly or indirectly to any charitable or humane organization, or any organization or person acting on behalf of such charitable or humane organization, whose interests may conflict with the interests of the laspca; (b) having a direct or indirect financial interest in or relationship with another charitable or humane organization whose interests may conflict with the interests of the laspca, except that ownership of less than 1% of the publicly traded stock of a corporation will not be considered a conflict; (c) engaging in any activity having the effect of diverting any opportunity due the laspca to any other charitable, humane or other organization or person; (d) committing the laspca to give its financial or other support to any outside charitable or humane organization or political religious or other group or activity without proper approval; or (e) using proprietary or confidential laspca information for personal gain or to the laspca's detriment. As used herein, "director" includes the director and the director's spouse and immediate family members. Income from certain activities not directly related to spcala's tax-exempt purpose is subject to taxation as unrelated business income. Asc topic 740, income taxes, prescribes a recognition threshold and measurement attribute for the financial statement recognition and measurement of a tax position taken or expected to be taken in a tax return, and provides guidance on derecognition, classification, interest and penalties, disclosure, and transition. Management believes that no such uncertain tax positions exist for spcala at august 31, 2018.

FISCAL 2018 SAW THE TOTAL NUMBER OF EAC ADOPTIONS SINCE INCEPTION HIT 1404. BEHAVIOR, TRAINING, AGILITY AND SPECIALTY CLASSES INCREASE THE ABILITY OF ADOPTERS TO EFFECTIVELY COMMUNICATE WITH THEIR PET, ENHANCING THE HUMAN ANIMAL BOND, AS WELL AS DEVELOPING ENRICHMENT ACTIVITIES TO HELP SHELTER ANIMALS COPE WITH THE STRESS AND ANXIETY OF LIFE IN A KENNEL. THIS YEAR THE APS STAFF FIELDED 3,011 CALLS THAT RESULTED IN 1,349 FORMAL COMPLAINTS. OFFICERS CHECKED ON THE HEALTH AND WELFARE OF OVER 12,366 ANIMALS. OF THE FIVE CRIMINAL CASES INVESTIGATED, ONE WAS FILED WITH THE DISTRICT ATTORNEY'S OFFICE, TWO WERE FILED WITH THE CITY ATTORNEY'S OFFICE, TWO RESULTED IN CONVICTIONS, AND THREE CASES ARE PENDING, TWO WITH THE U.S. ATTORNEY WITH PARTICIPATION BY THE U.S. POSTAL SERVICE AND THE IRS. THE DISASTER ANIMAL RESPONSE TEAM (DART), A BLEND OF STAFF AND VOLUNTEERS, RESCUES AND PROVIDES TEMPORARY SHELTER AND FRONT-LINE VETERINARY CARE FOR ANIMALS DURING EMERGENCIES BOTH LOCAL AND NATIONAL. THE DART TEAM DISPATCHED TO ASSIST HOUSTON SPCA IN DEALING WITH THE DEVASTATING EFFECTS OF HURRICANE HARVEY AND FACILITATE THE RESCUE OF 106 DOGS AND CATS FROM PROPERTIES INUNDATED BY FLOODWATERS.DART IS WORKING WITH THE LOS ANGELES COUNTY OFFICE OF EMERGENCY MANAGEMENT IN THE DEVELOPMENT OF THE ANIMAL EMERGENCY, LANDSLIDE AND DAM FAILURE ANNEXES. DART MEMBERS ALSO OBTAINED TRAINING FROM THE LOS ANGELES COUNTY FIRE DEPARTMENT AND URBAN SEARCH AND RESCUE IN LARGE ANIMAL RESCUES.THE ANIMAL SAFETY NET PROGRAM PROVIDES AN UNDISCLOSED SAFE HAVEN FOR PETS OF BATTERED INDIVIDUALS WHO FEAR LEAVING THEIR PETS BEHIND WHERE THEY ARE VULNERABLE TO HARM BY A VIOLENT PARTNER. THIS YEAR THE PROGRAM HELPED 42 FAMILIES (INCLUDING 62 CHILDREN) HOUSING 43 DOGS AND 22 CATS IN LOVING HOMES WHILE THEIR HUMAN FAMILIES RECEIVED MUCH NEEDED EMOTIONAL SUPPORT FROM DOMESTIC VIOLENCE SHELTERS AND PROFESSIONAL COUNSELORS. ANIMAL CRUELTY INVESTIGATIONS STAFF MEMBERS REACHED OUT TO THE COMMUNITY IN VARIED WAYS IN FY17/18 TO INCREASE AWARENESS OF THE SCOPE OF HUMANE LAW ENFORCEMENT. HUMANE OFFICERS STAFFED A BOOTH AT A LAW ENFORCEMENT JOBS FAIR AT EAST LOS ANGELES COLLEGE AS WELL AS AT THE ANNUAL LAW ENFORCEMENT DAY EVENT AT THE DEPARTMENT OF VETERANS AFFAIRS IN LONG BEACH. WE ALSO PARTICIPATED IN THE YEARLY KLOS ADOPTION DAY EVENT, WHICH RESULTED IN THE ADOPTION OF MORE THAN 80 ANIMALS.ANIMAL CRUELTY INVESTIGATIONS' LANDMARK DOG BEHAVIOR FOR LAW ENFORCEMENT (DBLE) TRAINING NOT ONLY BROADENED ITS SCOPE BUT ALSO ITS REACH IN FY17/18. CONDUCTING A NATIONAL PRESS CONFERENCE IN COORDINATION WITH MILO RANGE, THE NATIONAL CANINE RESEARCH COUNCIL (NCRC), AND THE POLICE FOUNDATION IN CHICAGO, IL, A NEW SCENARIO-BASED FORCE OPTION SIMULATOR-TRAINING COMPONENT WAS UNVEILED, DESIGNED TO TRANSFORM THE WAY LAW ENFORCEMENT INTERACTS WITH DOGS AND TO ENHANCE SAFETY FOR OFFICERS, CANINES, AND THE PUBLIC. IN PREPARATION FOR THAT, ANIMAL CRUELTY INVESTIGATIONS OFFICERS TRAVELED TO ANN ARBOR, MI, TO ASSIST NCRC AND MILO RANGE IN THE PRODUCTION OF SCENARIO VIDEOS FOR THOSE SIMULATIONS. IN ADDITION, EFFORTS TO CONTINUE THE IMPROVEMENT OF THE DBLE PROGRAM INCLUDED PARTICIPATION IN FOCUS GROUP STUDIES IN KANSAS CITY, KS, LENEXA, KS, AND CAMBRIDGE, MA. FINALLY YET IMPORTANTLY, THE NEW DBLE SIMULATOR SCENARIOS WERE DEBUTED AT WARRIOR EXPO, ONE OF THE NATION'S LEADING DEFENSE AND TRAINING TRADE SHOWS.

THIS PROGRAM USES SHELTER DOGS AS THE MEDIUM FOR THESE EFFECTS, 42 DOGS AND 72 STUDENTS PARTICIPATED IN ONE OF 7 SESSIONS HELD THIS YEAR. IT IS A CURE FOR VIOLENT BEHAVIOR AS IT AIMS TO RESTORE EMPATHY WHERE IT HAS LAPSED. THE COURT DIVERSION PROGRAM FOR YOUTH (FORMERLY JTLC), A SHORTER VERSION OF TLC, IS A COURT-MANDATED PROGRAM THAT IS OFFERED TO QUALIFIED CONVICTED JUVENILE OFFENDERS WHO PARTICIPATED IN ANIMAL ABUSE OR SOME KIND OF VIOLENT BEHAVIOR. WORKING WITH THE OFFICE OF THE DISTRICT ATTORNEY, THE JUDICIARY, THE DEFENSE BAR AND THE PROBATIONS DEPARTMENT, THIS PROGRAM HELD 9 SESSIONS AND PRODUCED 40 GRADUATES IN FISCAL 2018. IN ADDITION, HUMANE EDUCATION CONTINUED TEACHING THE ELECTIVE PROGRAMS (EP). THE EP IS A 16-WEEK, IN-SCHOOL ELECTIVE PROGRAM FOR STUDENTS IN GRADES 6-8 AND TEACHES THE POWER OF EMPATHY AND NON-VIOLENT CHOICES THROUGH LESSONS ON RESPONSIBILITY, DIVERSITY, TOLERANCE, AND KINDNESS. THIS YEAR, 70 STUDENTS COMPLETED THE PROGRAM. NOW IN ITS 15TH YEAR, FRIENDS FOR LIFE SUMMER CAMP HAD 322 CAMPERS (AGES 8-13) AND 72 COUNSELORS-IN-TRAINING (AGES 14-17) LEARNING RESPECT AND COMPASSION FOR ALL LIVING THINGS. CAMP ACTIVITIES INCLUDE HANDS-ON DOG TRAINING-AN ACTIVITY THAT MAKES SHELTER DOGS MORE ADOPTABLE-AS WELL AS PUPPY AND KITTEN HANDLING. HUMANE EDUCATORS SPOKE AT THREE DOMESTIC VIOLENCE (DV) CENTERS REGARDING THE ASN PROGRAM AND ITS COMPONENTS, REACHING 30 ADVOCATES FOR VICTIM OF DOMESTIC VIOLENCE. ON-LINE PRESENTATIONS WERE AVAILABLE FOR DOWNLOAD IN BOTH ENGLISH AND SPANISH FOR TEACHERS TO USE IN THEIR CLASSROOMS THROUGHOUT THE UNITED STATES AND MANY FOREIGN COUNTRIES. THE GIRL SCOUT MERIT BADGE PET CARE WORKSHOPS (PCWS) CONTINUE TO BE IN HIGH DEMAND, WITH 24 WORKSHOPS REACHING 270 CHILDREN AGES 6-12 IN FY2018 .

THESE PROGRAMS PROVIDE STIMULATION FOR THE SHELTER ANIMALS, HELPING REDUCE STRESS AND ANXIETY, THEREBY MAKING THE ANIMALS MORE ATTRACTIVE TO POTENTIAL ADOPTERS. OTHER VOLUNTEERS PARTICIPATED IN THE FOSTER CARE PROGRAM BY OPENING THEIR HOMES TO CARE FOR BOTTLE FED NEWBORN KITTENS AND PUPPIES OR SICK, INJURED, OR ABUSED ANIMALS; THE ANIMAL ASSISTED THERAPY PROGRAM , BRINGING ANIMALS TO VISIT WITH CHILDREN AND ADULTS IN HOSPITALS, HOMELESS SHELTERS AND OTHER FACILITIES SERVING THOSE WHO ARE DISABLED, ILL, AGED, AND CONFINED; AND HUMANE EDUCATION PROGRAMS. ADDITIONALLY, VOLUNTEERS ASSISTED IN THE DAY TO DAY CARE OF SHELTER ANIMALS THROUGH CLEANING, FEEDING AND, GROOMING LAUNDRY VOLUNTEERS WASHED MOUNTAINS OF TOWELS AND BLANKETS REGULARLY. STILL MORE VOLUNTEERS DID ISOLATION PUPPY/DOG SOCIALIZATION, LOW COST VACCINE CLINICS, MOBILE ADOPTIONS, AND OUTREACH EVENTS. FINALLY, VOLUNTEERS SUPPORTED OFFICE ACTIVITIES.
