Form 990 is prepared by an outside agency. Finance manager provides all schedules. Deputy director of finance and operations and executive director review the 990 drafts. Executive director signs the final 990.

Form 990, Part VI, Section B, Line 12C

Bod bylaws: section 3. Conflict of interest avoidance procedures (a) duty to disclose. In connection with any actual or possible conflict of interest, an interested person must disclose the existence of their financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with board-delegated powers considering the proposed transaction or arrangement. (b) determining whether a conflict of interest exists. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, the interested person shall leave the board meeting while the remaining directors discuss, vote and decide whether a conflict of interest exists. (c) procedures for addressing the conflict of interest. Once a majority of disinterested directors of the board have determined a conflict of interest exists, an interested person may make a presentation at the board or committee meeting. After the presentation, the interested person shall leave the meeting during the discussion and vote on the transaction or arrangement involving the possible conflict of interest. The board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the center's best interest, for the center's own benefit, and whether it is fair and reasonable. (d) violations of the conflicts of interest policy. If the board or committee has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose. If, after hearing the member's response and after making further investigation, the board or committee determines the member has failed to disclose a conflict of interest, it shall take appropriate action.

THE LEADING PROGRAM UNDER THE INITIATIVE IS CALIFORNIA THURSDAYS, A COLLABORATION BETWEEN THE CENTER FOR ECOLITERACY AND A NETWORK OF 89 PUBLIC SCHOOL DISTRICTS COMMITTED TO SERVING HEALTHY, FRESHLY PREPARED SCHOOL MEALS MADE FROM CALIFORNIA-GROWN FOOD. COLLECTIVELY, THESE DISTRICTS SERVE OVER 334 MILLION MEALS ANNUALLY. SUPPORT FOR THIS PROGRAM INCLUDES TOMKAT RANCH EDUCATIONAL FOUNDATION, PANTA RHEA, AND THE CALIFORNIA DEPARTMENT OF FOOD AND AGRICULTURE SPECIALTY FOOD BLOCK GRANT PROGRAM. IN THE PAST YEAR, THE NETWORK EXPANDED FROM 71 TO 89 SCHOOL DISTRICTS WITH A COMBINED ENROLLMENT OF OVER TWO MILLION STUDENTS IN 3,195 SCHOOLS. THE CENTER FOR ECOLITERACY HOSTED REGIONAL PROFESSIONAL DEVELOPMENT WORKSHOPS FOR FOODSERVICE STAFF FROM 29 DISTRICTS; DEVELOPED A SUITE OF EDUCATIONAL LESSONS, AWARD-WINNING POSTERS, TURN-KEY PROFESSIONAL DEVELOPMENT RESOURCES AND RECIPES; AND COORDINATED A "COLLECTIVE ACTION DAY" WHEN MANY DISTRICTS SIMULTANEOUSLY SERVED CALIFORNIA THURSDAYS MEALS, HOSTED SCHOOL COMMUNITY EVENTS, AND JOINED A STATEWIDE MEDIA CAMPAIGN TO CELEBRATE THE PROGRAM'S COLLECTIVE IMPACT. LOCALLY, THE CENTER FOR ECOLITERACY CONTINUED ITS ENGAGEMENT WITH THE OAKLAND UNIFIED SCHOOL DISTRICT (OUSD) TO USE OUR RETHINKING SCHOOL LUNCH PLANNING FRAMEWORK TO PROVIDE ASSESSMENT AND ANALYSIS TOWARD UPCOMING EDUCATIONAL OPPORTUNITIES AND FACILITIES OPTIMIZATION FOR THE PLANNED LAUNCH OF A NEW CENTRAL KITCHEN, INSTRUCTIONAL FARM, AND GARDEN IN 2020 THROUGH FUNDING FROM THE STUPSKI FOUNDATION. THE CENTER FOR ECOLITERACY LAUNCHED "UNDERSTANDING FOOD AND CLIMATE CHANGE: AN INTERACTIVE GUIDE", AND "UNDERSTANDING FOOD AND CLIMATE CHANGE: A SYSTEMS PERSPECTIVE" ON EARTH DAY IN APRIL 2018. BY INVITATION OF THE PRESIDENT OF THE GENERAL ASSEMBLY OF THE UNITED NATIONS, THE RESOURCE WAS PRESENTED AT THE EIGHTH INTERACTIVE DIALOGUE OF THE GENERAL ASSEMBLY ON HARMONY WITH NATURE.
