Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee is authorized to act on behalf of the board during the intervals between full board meetings. The executive committee possesses the full power of the board.

Form 990, Part VI, Section A, Line 2

Thomas lauderdale, board member, is founder/owner of pink martini, a performing group that works often with the oregon symphony.

Form 990, Part VI, Section A, Line 3

The executive committee is authorized to act on behalf of the board during the intervals between full board meetings. The executive committee possesses the full power of the board.

Form 990, Part VI, Section A, Line 4

The bylaws were amended to update the description of the role of treasurer to match current practices and remove potential conflict of interest.

Form 990, Part VI, Section B, Line 11B

Form 990 will be reviewed by the finance committees prior to submission to the irs. The full board will receive an electronic copy of the full form prior to submission. We do not include donor name & addresses in material sent to the board.

Form 990, Part VI, Section B, Line 12C

The board of directors consistently monitors any possibility of a conflict of interest. Board members have recused themselves from voting on policies that might affect them: for example, if the board is voting on a motion that will increase musician compensation, directors who are also employed by the symphony as musicians in the orchestra have cited a conflict of interest and recused themselves from voting on the motion.

Form 990, Part VI, Section B, Line 15

For key employees of the organization, specifically the ceo and music director, multiyear employment contracts are signed. These contracts are prepared using comparability data based on information from the search firm (for new hires) and industry reports such as the league of american orchestras annual wage surveys. At the time of preparation, an adhoc compensation committee from the independent board is created. Each contract is reviewed on an annual basis by the executive committee. The process is substantiated through the acceptance of the annual budget by the board and the committees.

Form 990, Part VI, Section C, Line 18

Form 990 is available on the website orsymphony.org and is uploaded to guidestar. Copies are also available upon request.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request. Financial statements are also published on the organization's website.

IRS990/Desc0THE 2023/24 OREGON SYMPHONY SEASON SHOWCASED OUR COMMITMENT TO ARTISTIC EXCELLENCE WITH POWERFUL PERFORMANCES THAT HIGHLIGHTED RESILIENCE AND OVERCOMING ADVERSITY. FROM MOZART'S REQUIEM TO BEETHOVEN'S FIFTH SYMPHONY, OUR CLASSICAL SERIES FEATURED WORKS BORN FROM STRUGGLE, INCLUDING SCHUMANN'S SECOND SYMPHONY AND DVORAK'S SEVENTH SYMPHONY. WE SPOTLIGHTED COMPOSERS WHO TRIUMPHED OVER OBSTACLES, SUCH AS WILLIAM GRANT STILL, LOUISE FARRENC, AND JULIA PERRY. WE WELCOMED GUEST SOLOISTS LIKE GIL SHAHAM, WHO PERFORMED TCHAIKOVSKY'S VIOLIN CONCERTO, LATVIAN CONDUCTOR KRISTIINA POSKA, AND SUPERSTAR CELLIST YO-YO MA. AND OUR SEASON CONCLUDED WITH A SPIRITED PERFORMANCE OF BRAHMS' FIRST SYMPHONY UNDER THE DIRECTION OF JEAN VOLLUM MUSIC DIRECTOR DAVID DANZMAYR, A MASTERPIECE THAT TOOK THE COMPOSER TWENTY-ONE YEARS TO WRITE. WE ALSO MADE SPACE FOR CONTEMPORARY VOICES, WITH A THIRD OF OUR PROGRAMMING DEDICATED TO NEW MUSIC. WE PRESENTED THE WORLD PREMIERE OF DI MI TIERRA BY GIANCARLO CASTRO D'ADDONA AND THE WEST COAST PREMIERE OF SCULPTURES BY COMPOSER-IN-RESIDENCE ANDY AKIHO, ALONGSIDE WORKS BY GABRIELLA SMITH AND JAMES B. WILSON. OUR EFFORTS TO DIVERSIFY PROGRAMMING INCLUDED PERFORMANCES INSPIRED BY GLOBAL SOUNDS, FROM SIMONE PORTER'S TANGO-INFUSED FOUR SEASONS OF BUENOS AIRES TO HECTOR VILLA-LOBOS' BRAZILIAN DANCE CONCERTO. OUR POPS CONCERTS, LED BY JEFF TYZIK, CELEBRATED GEORGE GERSHWIN'S 125TH ANNIVERSARY AND FEATURED PERFORMANCES BY YOUNG PIANIST RAY USHIKUBO AND VOCALIST STORM LARGE. THE NEW MUSIC SERIES OPEN MUSIC ALSO SAW SIGNIFICANT GROWTH, DOUBLING IN ATTENDANCE, AND INCLUDED UNIQUE PERFORMANCES SUCH AS CURTIS STEWART'S OF LOVE AND A JOHN CAGE PIECE PERFORMED ON UNCONVENTIONAL INSTRUMENTS. THESE PROGRAMS UNDERSCORED OUR DEDICATION TO ARTISTIC INNOVATION AND EXCELLENCE.
