“The executive committee has the right to act on behalf of the board of directors. The committee is comprised of the president, president-elect, immediate past president, president emeritus, secretary, treasurer, and the chair of each of the standing committees.”

“During 2014, several sections of the bylaws were revised as follows: 4.1 a new category of board member was created known as the board member emeritus. 5.1 annual meetings of the foundation will now be held in february instead of january. 6.5.1 honorary board members were replaced by an honorary board of directors. This new board recognizes the services of past or retiring board members, as well as individuals in the community, who display extraordinary commitment to the medic one foundation, either through personal financial support or through advice and guidance in areas of the individual's expertise. 6.5.2 the words "medic one foundation" were added to be more specific when describing the board of advisors. 6.5.3 the medical advisory council replaced the medical advisory committee to provide strategic advice and counsel, as requested by the medic one foundation board of directors. The medical advisory council supports the foundation's fundraising and awareness initiatives. 6.13 and 6.13.3 the community partnership committee replaced the community liaison committee and is one of the standing committees of the board of directors. The committee will be proactive in meeting with ems providers and community government leaders in order to build relationships before a crisis concerning emergency medical services develops. 6.15 the strategic planning committee was added as one of the additional committees that the president may appoint as he/she feels is necessary.”

“The form 990 will be reviewed by senior staff, the president of the board, and the finance committee before filing. It will also be forwarded to all board members for comments. The treasurer and the director of finance will have final authorization of the 990 before filing.”

“The board of directors and key staff sign a conflict of interest statement annually. If a conflict is noted, it is addressed by the committee on directors and if the committee feels there is a conflict, the person is asked to take a leave of absence until the conflict is resolved.”

“All compensation is reviewed and determined by the finance committee based on comparable data from at least two philanthropy surveys and local market values. Once approved they are presented to the board of directors for final approval. This is included with the annual budget review.”
