Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 will be reviewed by senior staff, the president of the board, and the finance committee before filing. It will also be forwarded to all board members for comments. The treasurer, executive director and the director of finance will have final authorization of the 990 before filing.

Form 990, Part VI, Section B, Line 12C

The board of directors and key staff sign a conflict of interest statement annually. If a conflict is noted, it is addressed by the committee of directors and if the committee feels there is a conflict, the person is asked to take a leave of absence until the conflict is resolved.

Form 990, Part VI, Section B, Line 15A

As of 2024, all compensation is reviewed and determined by the governance and executive committee. Salaries are based on comparable data from at least two philanthropy surveys and local market values. Once approved they are presented in the budget to the finance committee for review, then included in the budget presented to the board of directors, where the budget is approved.
