Mission

The mission of the northwest railway museum is to develop and operate an outstanding railway museum that provides the public a place to experience the excitement of a working railroad and to see and understand the significance of railroads in the development and settlement of washington state and adjacent territories.

The organization has the following classes of membership: individual, regular, business, patron, and benefactor. All these classes of membership had one vote at annual meeting and annual election of trustees.

Form 990, Part VI, Section B, Line 11B

Review of the 2020 form 990 consists of a short presentation about the return to the board of trustees. The trustees go through the return line by line and have the opportunity to ask questions, discuss anything they do not understand, and at the completion of the presentation give a formal approval for its submission to the tax authority, or in the alternative, give direction on what additional information is required before they will grant approval to file.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy applies to trustees and key employees. A questionnaire is completed by the respective individuals to determine if further investigation of conflicts is required and is reviewed by the board. If the appearance or other indication of a conflict arises with an individual, the board sitting as a committee of the whole decides if there is a conflict, and if so, what action is required. Action may include the recusal of the interested party from the decision making process. The appearance or other indication of a conflict is reported through the executive director who also administers the annual survey questionnaire.

Compensation for the executive director is reviewed by independent members of the board and comparability data is obtained from 990 filings of other similar organizations, industry salary surveys, and salary ranges posted in job listings. The compensation policy was last reviewed in april 2020; there was salary review and adjustment in 2020. There are no other key employees or offices in the organization who receive compensation.

Additional Explanations

FORM 990, PART I, LINE 6:

Volunteers staffed programs, including operation of trains and engines, rehabilitation of artifacts, cataloging work, grounds-keeping, clerical services, and diesel and steam mechanics and machinists. In 2020 they contributed a combined 6,939 hours.

Form 990, Part III, Line 3

In march 2020 the museum was ordered closed by washington state governor inslee in response to the covid-19 global pandemic. The museum remained closed until labor day and was able to reopen with capacity restrictions, but was ordered closed again in november when the infection rate increased. In december 2020 the museum began operating railroad-based programming under the rules established by transportation security administration and adopted by the federal railroad administration. Museum galleries remained closed through the end of the year.

Financial Statement Notes

PART III, LINE 1A:

The museum's reference collection of historical treasures and art is not capitalized nor valued on the balance sheet under sfas 116. However, objects acquired and operated as part of the demonstration railway are treated as depreciable assets in recognition of the consumptive consequences of operating a locomotive, coach or depot.

PART III, LINE 4:

The museum collects historical artifacts representative or illustrative of the role the railway played in the settlement and development of washington state and adjacent areas. A special class of objects operate in demonstration trains on the museum's railway. Thus, these artifacts directly support programs conducted in fulfillment of the museum's mission.
