Governance Explanations

Form 990, Part VI, Section A, Line 6

The organization has voting members of different classes; see line 7a for voting rights.

Form 990, Part VI, Section A, Line 7A

Individual member - voting at annual meeting and annual election of trustees; regular membership - one vote at annual meeting and annual election of trustees; business membership - one vote at annual meeting and annual election of trustees; patron membership and annual election of trustees - one vote at annual meeting; benefactor membership and annual election of trustees - one vote at annual meeting.

Form 990, Part VI, Section B, Line 11

Review of the 2014 form 990 consists of a short presentation about the return to the board of trustees. The trustees go through the return line by line and have the opportunity to ask questions, discuss anything they do not understand, and at the completion of the presentation give a formal approval for its submission to the tax authority, or in the alternative, give direction on what additional information is required before they will give their consent.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy applies to trustees and key employees. A questionnaire is completed by the respective individuals to determine if further investigation of conflicts is required and is reviewed by the board. If the appearance or other indication of a conflict arises with an individual, the board sitting as a committee of the whole decides if there is a conflict, and if so, what action is required. The appearance or other indication of a conflict is reported through the executive director who also administers the annual survey questionnaire.

Form 990, Part VI, Section B, Line 15A

Compensation is reviewed by independent members of the board and comparability data is obtained from 990 filings of other similar organizations, industry salary surveys, and salary ranges posted in job listings. The compensation policy was last reviewed in january 2013; there was no salary review or adjustments in 2014.

Form 990, Part VI, Section C, Line 19

The organization's governing documents, conflict of interest policy, and financial statements are available to the public upon request.

Additional Explanations

FORM 990, PART 1, LINE 6:

Individuals who volunteer for the northwest railway museum must apply for the position and go through a reference and background check procedure. Volunteers record their hours in a log designated for the purpose where they also record their duties. Volunteers run trains and engines, perform collections care, conduct tours, staff outreach events, and serve on the board of trustees. They are vital to the well-being and success of the museum.

Financial Statement Notes

PART III, LINE 1A:

Organization maintains a research collection of historic railway transportation artifacts. This collection is not used for financial gain and under sfas 116 are not capitalized or recorded as revenue on the organization's financial statement.

PART III, LINE 4:

Collections are divided into three primary categories: library collections include published works, railroad timetables, maps, photographs, engineering records, artwork and business records, which document the mobilization of the northwest, and the technology and skilled workers that made it possible. Small objects include hand tools, lanterns, signals, and uniforms and other textiles, which represent objects used to construct, maintain and operate railroads in the northwest. Large objects include freight cars, coaches, and locomotives, which are used to illustrate and demonstrate how people and freight were transported to and from the northwest.

IRS990/Desc0INTERPRETIVE RAILWAY - THE NORTHWEST RAILWAY MUSEUM OFFERS EXPERIENTIAL "LIVING HISTORY" PROGRAMS WHERE VISITORS TRAVEL BETWEEN TWO WESTERN WASHINGTON COMMUNITIES ON A RAILWAY BUILT IN 1889. THESE PROGRAMS INTERPRET THE ROLE OF RAILROADS IN THE DEVELOPMENT AND SETTLEMENT OF THE NORTHWEST, AND ALLOW PEOPLE TO EXPERIENCE THE EXCITEMENT OF A WORKING RAILWAY IN AN ERA BEFORE INTERSTATE HIGHWAYS. IN 2014, A STEAM LOCOMOTIVE WAS USED FOR SEVERAL SPECIAL WEEKEND OPERATIONS TO GAUGE PUBLIC RESPONSE TO THIS ENHANCEMENT. THOSE WEEKENDS ATTRACTED NEAR-RECORD ATTENDANCE. OVERALL, INTERPRETIVE RAILWAY PROGRAMS REACHED A COMBINED AUDIENCE OF 45,748 PEOPLE AND INCLUDED SCHOOL TRAINS, REGULAR TRAINS ON WEEKENDS, AND THEMED EVENTS FOR YOUNG CHILDREN.
