Governance Explanations

Form 990, Part VI, Section A, Line 6

The organization has voting members of different classes; see line 7a for voting rights.

Form 990, Part VI, Section A, Line 7A

The organization has the following classes of membership: individual, regular, business, patron, and benefactor. All these classes of membership had one vote at annual meeting and annual election of trustees.

Form 990, Part VI, Section B, Line 11B

Review of the 2016 form 990 consists of a short presentation about the return to the board of trustees. The trustees go through the return line by line and have the opportunity to ask questions, discuss anything they do not understand, and at the completion of the presentation give a formal approval for its submission to the tax authority, or in the alternative, give direction on what additional information is required before they will give their consent.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy applies to trustees and key employees. A questionnaire is completed by the respective individuals to determine if further investigation of conflicts is required and is reviewed by the board. If the appearance or other indication of a conflict arises with an individual, the board sitting as a committee of the whole decides if there is a conflict, and if so, what action is required. Action may include the recusal of the interested party from the decision making process. The appearance or other indication of a conflict is reported through the executive director who also administers the annual survey questionnaire.

Form 990, Part VI, Section B, Line 15A

Compensation is reviewed by independent members of the board and comparability data is obtained from 990 filings of other similar organizations, industry salary surveys, and salary ranges posted in job listings. The compensation policy was last reviewed in january 2013; there was no salary review or adjustments in 2016.

Form 990, Part VI, Section C, Line 19

The organization's governing documents, conflict of interest policy, and financial statements are available to the public upon request.
